<br />LETTER OF UNDERSTANDING <br /> <br />This Letter of Understanding is made between the Fridley Housing <br />and Redevelopment Authority (hereby referred to as the "Fridley <br />HRA") and the City of (hereby referred to <br />as the "City") to outline the common understandings and <br />expectations as related to a remodeling planbook for housing in <br />fully developed and/or inner ring cities of the Twin City <br />Metropolitan Area. <br /> <br />The HRA agrees to execute a contract with Robert ~erloff <br />Residential Architects, Kristi Johnson, and Peter Musty (hereby <br />referred to as the "Architects") in the amount of $60,000 with the <br />following understanding: <br /> <br />1. The City agrees to pay $5,000 to the Fridley HRA to be held <br />on account to pay for the contractual services as outlined in <br />the contract identified as Exhibit 1 of this document. <br /> <br />2. The City acknowledges that the Fridley HRA is administering <br />the contract on behalf of several cities as identified in <br />Exhibit 2 as an efficient means to producing the content of <br />a planbook. The City acknowledges that the publishing and <br />production of the planbook will be an additional undertaking <br />to be completed in cooperation with the cities identified in <br />Exhibit 2. <br /> <br />3. The City agrees to defend, indemnify, and hold Fridley HRA, <br />its officers and employees, harmless from any liability <br />claims, damages, costs, judgements, or expenses, including <br />reasonable attorney fees , resulting directly or indirectly <br />from an act or omission of the Fridley HRA, its officers and <br />employees, in administration of the contract identified in <br />Exhibit 1. <br /> <br />4. The HRA agrees to administer the contract in consultation with <br />the cities as outlined in Exhibit 2 at meetings regularly <br />established by the cities f representatives. This may include, <br />but is not limited to, requesting additional services, <br />reviewing the Architects work performance, and specific <br />direction regarding preparation of the planbook. <br /> <br />5. The Fridley HRA agrees to refund any unused portion of the <br />cities' payments in a manner as mutually agreed to by the <br />cities in Exhibit 2. The HRA agrees that the use of the funds <br />is for the purposes as described in this Letter of <br />Understanding. <br /> <br />6. The HRA acknowledges that the City is entitled to use the <br />content of the planbook as defined in Exhibit 1; however, the <br />City agrees to work in consultation with the cities identified <br />in Exhibit 2 in publishing the planbook. <br /> <br />/ <br />
