The purpose of this Memorandum of Understanding is to restate and clarify
previous permits and lease agreements as they relate to the land use and parking on the site
commonly known as the Lake Owasso School, 934 Woodhill Drive.

1.2 History. In 1983 the City approved a 15-year special use permit for Roseville School
District to allow quasi-public use of Owasso Lake School. The District leased space to the
local cable provider MediaOne and the Community Cable access system. Terms of this
special use permit provided for on-site parking of 132 spaces.

In 1986 the special use permit was amended to allow up to 32 employee vehicles to be
parked in the northeast parking lot. Also, the trash dumpster areas (southwest side of the
building) were to be appropriately screened. The condominium buildings (west side) were
to be screened by 12 spruce trees.

In 1996 the District approved a ten-year lease between the School, the City and MediaOne,
to provide for a 70-space parking lot (southeast side of the building) with specific times
allotted for MediaOne and City uses.

In 1998 the 15-year special use permit expired without further review.

2.0 MediaOne Proposal

MediaOne has proposed the following in the Memo of Understanding relating to parking:

a.
