<br />(g) Minimum Value. $ 180,000 , which represents the maximum value for which the GMMHC <br />will construct and sell the Improvements. <br /> <br />(h) Mortgage and Holder. The term "mortgage" shall include the mortgages referenced in Article <br />VI of this Agreement and any deed of trust or other instrument creating an encumbrance or lien <br />upon the Property of any part thereof, as security for a loan. The term "holder" in reference to a <br />mortgage includes any insurer or guarantor. (other than the GMMHC) of any obligation or <br />condition secured by such mortgage or deed of trust. <br /> <br />(i) Property. The real property located in Ramsey County, Minnesota, commonly referred to as <br />2018 Hamline Avenue, and legally described as: Lots 16, 17, and 18, Block 10 Midway Hills <br />Rearrangement of Como Garden Lots. <br /> <br />G) Unavoidable Delays. Delays which are the direct result of strikes, labor troubles, fITe or other <br />casualty to the Improvements, litigation commenced by third parties which results in delays or acts of any federal, <br />state or local government, except those contemplated by this Agreement, which are beyond the control of the <br />GMMHC. <br /> <br />Section 1.2. Exhibits. The following Exhibits are attached to and by reference made a part of this <br />Agreement: <br /> <br />A. Fonn of Certificate of Completion <br />B. Site Development and Housing Design Criteria <br /> <br />Section 1.3. Rules of Interpretation. <br /> <br />(a) <br />Minnesota. <br /> <br />This Agreement shall be intetpreted in accordance with and governed by the laws of the State of <br /> <br />(b) The words "herein" and "hereof' and words of similar import, without reference to any particular <br />section or subdivision refer to this Agreement as a whole rather than any particular section or subdivision hereof. <br /> <br />(c) References herein to any particular section or subdivision hereof are to the section or subdivision <br />of this Agreement as originally executed. <br /> <br />(d) Any titles of the several parts, articles and sections of this Agreement are inserted for convenience <br />and reference only and shall be disregarded in construing or interpreting any of its provisions. <br /> <br />ARTICLE II. <br /> <br />REPRESENTATIONS AND UNDERTAKINGS <br /> <br />Section 2.1. By the GMMHC. The GMMHC makes the following representations and undertakings: <br /> <br />(a) The GMMHC has the legal authority and power to enter into this Agreement and has duly <br />authorized the execution, delivery and perfonnance of this Agreement; <br /> <br />(b) The GMMHC has the personnel and expertise necessary to fulfill its obligations under this Agreement. <br /> <br />(c) The GMMHC will make every effort to sell the newly constructed home to a first time homebuyer <br />meeting the criteria of Ramsey County and Minnesota H>using Finance Agency for access to down payment <br />assistance and low interest first mortgage. The GMMHC will propose for City approval its proposed sale and <br />provide the City with sufficient infonnation for the City to determine GMMHC compliance with this Section 2.1 (c) <br /> <br />2 <br />
