<br />". <br /> <br />claim deed or other appropriate document conveying to the Owner of the <br />Northtown Parcel any interest in the Transit Hub Improvements located on the <br />Northtown Parcel, including the Bus Shelters, transit island, and Pedestrian <br />Walkway, the exclusive Circulation Area, and the Ring Road. <br /> <br />2. '1 Transfer of ACRRA Property. Following its receipt of the unrestricted deed to Lot <br />1, Block 3, Muir's Northtown Addition, but no later than the Transit <br />Commencement Date, the ACRRA agrees to transfer fee simple title in acceptable <br />form to the Council, upon which transfer the Council will become the Owner of the <br />Council Farcel. <br /> <br />2.8 Tennination of ACRRA's Rights and Responsibilities. Upon expiration of the <br />twelfth full calendar month subsequent to the month in which the Transit <br />Commencement Date occurred, the parties agree that all rights and responsibilities <br />of the ACRRA pursuant to this agreement shall terminate and the ACRRA shall <br />no longer be a party to this Agreement. <br /> <br />ARTICLE III <br />EASEMENTS AND COVENANTS <br /> <br />3.1 Northtown Parcel. The Northtown Parcel shall be subject to a non-exclusive <br />easement and covenant for the benefit of the Council Parcel permitting the Owner <br />of the Council Parcel a right of access upon and use of the Northtown Parcel for all <br />purposes reasonably necessary to permit the Owner of the Council Parcel to <br />perform its obligations and exercise its rights under this Agreement. It is <br />anticipated that one of the Bus Shelters shall be constructed over the property line <br />between the Council Parcel and the Northtown Parcel and it is therefore <br />acknowledged that this easement and covenant shall include rights to support for <br />such Bus Shelter and utility access as specified in the approved Plans. This non- <br />exclusive easement and covenant shall be appurtenant to the Council Parcel and <br />shall pass with title to the Council ParCel. It is acknowledged that Vle non-exclusive <br />rights conveyed or granted by this section 3.1 shall not preclude the Owner of the <br />Northtown Parcel and its invitees from the non-exclusive right of access to, and use <br />of, the Bus Shelters. <br /> <br />3.2 Rim! Road. Beginning upon the Transit Commencement Date, the Ring Road shall <br />be subject to a non-exclusive easement and covenant for the benefit of the Council <br />Parcel permitting use of the Ring Road for ingress and egress to the Council Parcel <br />by the Owner of the Council Parcel and its invitees. This non-exclusive easement <br />and covenant shall be appurtenant to the Council Parcel and shall pass with title to <br />the Council Parcel. <br /> <br />3.3 Council Parcel.
