<br />.. <br /> <br />. <br />, <br /> <br />, ') <br /> <br />ARTICLES OF INCORPORATION <br />OF <br />ROSEVILLE LOCAL DEVELOPMENT CORPORATION <br /> <br />The undersigned, a natural person of full age, for the <br />purpose of forming a corporation under the provisions of the <br />Minnesota Nonprofit Corporation Act, Minnesota Statutes Chapter <br />317, and laws amendatory thereof and supplementary thereto, hereby <br />adopts the following Articles of Incorporation: <br /> <br />ARTICLE I <br /> <br />Name <br /> <br />The name of the corporation is: <br /> <br />ROSEVILLE LOCAL DEVELOPMENT CORPORATION. <br /> <br />ARTICLE II <br /> <br />Purposes <br /> <br />The corporation is organized and shall be operated <br />exclusively for charitable purposes, as such purposes are legally <br />defined; excluding, however, any purpose that is not exclusively <br />charitable within the meaning of sections 170(c) (2), 801(c) (3), <br />2055(a) (2), and 2522(a) (2) of the Internal Revenue Code of 1986, as <br />now enacted or hereafter amended (the "Code"). All references in <br />these Articles of Incorporation to a particular section of the Code <br />shall mean and include, as now enacted or as hereafter amended, <br />such section and any provisions of federal or state law as now are <br />or may hereafter be applicable, cognate to such section. <br /> <br />The corporation at all times shall be operated, supervised, <br />or controlled by or in connection with, as contemplated by section <br />509(a) (3) (B) of the Code, the City of Roseville, Minnesota (the <br />"City"), an organization described in section 509(a) (1) and <br />l70(b) (1) (A) (v) of the Code. Subject to the foregoing and within <br />the scope and in furtherance of the charitable purposes herein <br />provided, the corporation is organized and shall be operated <br />exclusively ~or the benefit of, to perform the functions of, or to <br />carry out the purposes of the City, as contemplated by section <br />509(a) (30(A) of the Code by directly or indirectly advancing, <br />supporting, romoting conductin administer in or en aqJn in <br />carIta e actIVIties, causes, ro'ects and programs of ever kind <br />and nature related or con rl uting to the care 0 t e aged, the <br />lessening of the burdens of governmentJ the combating of comrrwnity <br />deterioration, and the promotion of the social welfare throu h <br />accomplishment of the oregolng. pecI lca y, but without <br />limitation, the corporation shall facilitate the access of low to <br />moderate income senior citizens of the City to sound, affordab~ <br />
