The liability insurance polices sha 11 be <br />endorsed to include the City as an additional insured. <br /> <br />ARTICLE VI: INDEMNIFICATION <br /> <br />Outdoor Prclmotions shall defend, indelnnifv and hold harmless the Citv, its officers, <br />..f ,.' <br />agents, representatives and employees from and against all li,lbility, claims, dem,lnds <br />and expenses (including court costs and reasonable attorneys fees), on ,Knlunt 01 Ml\' <br />injury, loss or damage, arising out of or in connection with the perfc)rmance bv ()utc!oor <br />Promotions of its services pursuant to this Agreement, if such injury, lc)ss or (Llln,l.\~e is <br />caused by the negligent acts, errors or omissions of Outdoor Promotions, a suhcontr,lcltlr <br />of Outdoor Promotions, or any officer, employee, agent or representative of ()utc!O(lr <br />Promotions. Such indemnity shall not apply to any injury, loss or c1arnage which 1~ <br />caused by the negligent acts, errors or omissions of the City or any of its 'lgents or <br />employees. <br /> <br />ARTICLE VII: CITY'S RESPONSIBILITIES <br /> <br />The City shall provide Outdoor Promotions with all available information which i~ <br />relevant to the Transit Shelter Program together with the necessary guidance and <br />direction to achieve the Program's objectives. In consideration of the City's use of the <br />transit shelters at no cost, the City hereby assures access to and use elf the n(',\1"c":.,t <br />electrical power and waives all pen-nit and use fees for each transit shelter cuvcred ]>\. <br />this Agreement.
