<br />1 streets and highways or public places of the City and shall restore the streets and <br />2 highways of the City to their former condition in a manner satisfactory in the judgment of <br />3 the Director of Public Works. If the Company fails to remove all such shelters and <br />4 facilities within ninety (90) days after the expiration of the franchise, the City may have <br />5 the shelters and facilities removed and require the Company to pay the cost of such <br />6 removal. In the event that the shelters and facilities have not been sold pursuant to <br />7 paragraph A ofthis section or removed by the Company, all right and title to the shelters <br />8 shall be deemed to have passed to and vested in the City. The Company agrees that in <br />9 such circumstances it will execute such documents as the City attorney may require to <br />10 transfer the title to such shelters and facilities. <br /> <br />11 Section 27. Nondiscrimination. <br /> <br />12 The Company shall at all times comply with the provisions of the City of Roseville Code <br />13 and applicable state and federal law regarding nondiscrimination and civil rights. The <br />14 Company, its agents, employees, contractors and subcontractors shall not discriminate on <br />15 the basis of race, color, national origin, ancestry, age, sex, religion or disability in <br />16 connection with its services provided pursuant to this Franchise Agreement. <br /> <br />17 Section 28. Severability. <br /> <br />18 If any section, subsection, sentence, clause, phrase or portion of this ordinance is for any <br />19 reason held invalid or unconstitutional by any court of competent jurisdiction, such <br />20 portion shall be deemed a separate, distinct and independent provision and such holding <br />21 shall not affect the validity of the remaining portions thereof. <br /> <br />22 Section 29. Incorporation in Roseville City Code. <br /> <br />23 This ordinance shall be deemed a part of the Roseville City Code and shall be <br />24 incorporated therein as Appendix_. <br /> <br />25 Section 30. Entire Agreement <br />26 <br />27 The parties acknowledge and agree that the provisions contained herein constitute the <br />28 entire agreement between the parties and that all representations made by any officer, <br />29 agent or employee of the respective parties, unless included herein, are null and void and <br />30 of no effect. No alterations, amendments, changes or modifications to this Agreement <br />31 shall be valid unless contained in a written agreement executed by both parties. <br /> <br />32 Section 31. Effective Date. <br /> <br />33 This ordinance shall take effect and be in force after its passage, approval and <br />34 publication. <br /> <br />11 <br />
