1 streets and highways or public places of the City and shall restore the streets and 2 highways of the City to their former condition in a manner satisfactory in the judgment of 3 the Director of Public Works. If the Company fails to remove all such shelters and 4 facilities within ninety (90) days after the expiration of the franchise, the City may have 5 the shelters and facilities removed and require the Company to pay the cost of such 6 removal. In the event that the shelters and facilities have not been sold pursuant to 7 paragraph A ofthis section or removed by the Company, all right and title to the shelters 8 shall be deemed to have passed to and vested in the City. The Company agrees that in 9 such circumstances it will execute such documents as the City attorney may require to 10 transfer the title to such shelters and facilities. 11 Section 27. Nondiscrimination. 12 The Company shall at all times comply with the provisions of the City of Roseville Code 13 and applicable state and federal law regarding nondiscrimination and civil rights. The 14 Company, its agents, employees, contractors and subcontractors shall not discriminate on 15 the basis of race, color, national origin, ancestry, age, sex, religion or disability in 16 connection with its services provided pursuant to this Franchise Agreement. 17 Section 28. Severability. 18 If any section, subsection, sentence, clause, phrase or portion of this ordinance is for any 19 reason held invalid or unconstitutional by any court of competent jurisdiction, such 20 portion shall be deemed a separate, distinct and independent provision and such holding 21 shall not affect the validity of the remaining portions thereof. 22 Section 29. Incorporation in Roseville City Code. 23 This ordinance shall be deemed a part of the Roseville City Code and shall be 24 incorporated therein as Appendix_. 25 Section 30. Entire Agreement 26 27 The parties acknowledge and agree that the provisions contained herein constitute the 28 entire agreement between the parties and that all representations made by any officer, 29 agent or employee of the respective parties, unless included herein, are null and void and 30 of no effect. No alterations, amendments, changes or modifications to this Agreement 31 shall be valid unless contained in a written agreement executed by both parties. 32 Section 31. Effective Date. 33 This ordinance shall take effect and be in force after its passage, approval and 34 publication. 11
