<br />1 Section 18. Indemnification. <br /> <br />2 The Company shall defend, indemnify and hold harmless the City, its officers, agents, <br />3 representatives and employees from and against all liability, claims, demands and <br />4 expenses (including court costs and reasonable attorneys fees), on account of any injury, <br />5 loss or damage, arising out of or in connection with the performance by the Company of <br />6 its services pursuant to this Agreement, if such injury, loss or damage is caused by the <br />7 intentional or negligent acts, errors or omissions of the Company, a subcontractor of the <br />8 Company, or any officer, employee, agent or representative of the Company. Such <br />9 indemnity shall not apply to any injury, loss or damage that is caused by the intentional <br />10 or negligent acts, errors or omissions of the City or any of its agents or employees. <br /> <br />11 Section 19. City Responsibilities. <br /> <br />12 The City shall provide the Company with all available information, which is relevant to <br />13 the Transit Shelter Program together with the necessary guidance and direction to achieve <br />14 the Program's objectives. In consideration of the City's use of the transit shelters at no <br />15 cost, the City hereby assures access to and use of the nearest electrical power and waives <br />16 all permit and use fees for each transit shelter covered by this Agreement. Provided that <br />17 each transit shelter complies fully with the provisions of this Agreement and all <br />18 applicable provisions of the City's Municipal Code, all necessary permits for the <br />19 installation and/or maintenance of the transit shelters shall be granted by the City. The <br />20 process for obtaining such permits shall be expedited by all city departments to assure <br />21 that shelters are installed within one hundred eighty (180) days. <br /> <br />22 Section 20.
