1 (d) Withhold, deny, or revoke any building permits, certificates of occupancy, 2 utility connection permits and any other permits and approvals, issued or granted by the 3 City for the construction or occupancy of all or any part of the Improvements, until such 4 failure or refusal ends and the Grantee fully complies with its obligations hereunder. 5 6 All of the foregoing remedies shall be usable and enforceable by the City 7 separately or concurrently as the City shall determine, and the use of one remedy shall 8 not waive or preclude the use of any or more of the other remedies. Also, the failure to 9 exercise, or delay in exercising, any remedy hereunder in the event of a failure or refusal 10 by Grantee, shall not preclude the City from thereafter exercising any of its remedies for 11 the same or a subsequent failure or refusal. Grantee agrees to pay to the City any and all 12 costs and expenses incurred by the City in enforcing this Agreement by the use of the 13 remedies above set out or by other remedies or means available to the City at law or in 14 equity, including attorneys' fees whether suit be brought or not, and with interest on all 15 such costs and expenses at the rate established by the City and allowed by law from the 16 dates incurred by the City until paid. 17 18 Grantee also aggress to pay all costs of collection of any monies due to the City 19 from Grantee pursuant hereto, and of such costs and expenses incurred in enforcing this 20 Agreement, with interest thereon, again including attorneys' fees and whether suit be 21 brought or not, with interest from the dates such costs of collection were incurred until 22 paid. 23 5. All notices, reports, or demands required or permitted to be given under this 24 Agreement shall be in writing and shall be deemed to be given when personally delivered 25 to any officer of the party to which notice is being given, or when deposited in the United 26 States mail in a sealed envelope, with registered or certified mail postage prepaid thereon, 27 addressed to the parties at the following addresses; 28 To the City: City Manager 29 City of Roseville 30 2660 Civic Center Drive 31 Roseville, MN 55113 32 33 34 35 To Grantee: 36 37 38 39 Such addresses may be changed by any party upon notice to the other party given as 40 herein provided. 41 42 6. The terms and provisions hereof shall be binding upon and inure to the benefit 43 of the parties hereto and their respective successors and assigns, and shall run with the 44 title to the Property and be binding upon all present and future owners of the Property. If, 45 for any reason, the provisions hereof should be determined by the legal counsel for the 46 City, or by a court of competent jurisdiction, not to be binding upon and fully enforceable 4
