<br />.., <br /> <br />, <br /> <br />By-LAWS <br />~ <br />ROSE PLACE MANOR BOMES ASSOCI~TION <br /> <br />A MINNESOTA NON-PROFIT CORPORATION <br /> <br />ARTICLE 1 <br /> <br />Section 1. Name. The name of the corporation i. ROSE <br />PLACE MANOR HOHES'ASSOCYATIO~ (-Association"). The Association <br />is formed pursuant to Chapters 317 and SlSA, Minnesota Statutes, <br />known respect1vely as the Minnesota Non-Prof1t Corporation Act <br />and Uniform Condomin1UM Act (the latter being referred to herein <br />as the -Act"), and laws amendatory thereof and suppl~mental <br />thereto. The terms used in these By-Laws ahall have the same <br />meaning as they have in the Oeclaration to which these By-Lawa <br />are annexed, except .a otherwise specified herein. <br /> <br />Section 2. Membership and Voting. The membership of <br />the A..ociation shall consiat of the OWne~s of the Units within <br />ROSE PLACE KANOR HOMES, . condominium, Ramsey County, Minnesota. <br />Membership in the Association shall be appurtenant to, and shall <br />not be separated from, Unit ownership in ROSE PLACE MANOR BOMES, <br />. condominium. A person shall cease to be a member of the <br />A.sociation at such t1~e aa that peraon ceases to be an OWner of <br />a Unit. Each Unit ahall have a vote equal to the percentage of <br />ownership of the COlM\c,n Element. whi:h is appurtenant to such <br />Unit as set forth 1n ~ne Declara~ion. Whether there ia more than <br />one owner of a Unit, all of such O~ners ahall be members of the <br />association and the percentage of votes allocated to t~4t Unit in <br />accordance w1th the Declaration and these By-Laws shall be cast <br />as the OWners among themselves may determine. Where there ia <br />more than one OWner of a Unit, the name of the OWner who has been <br />de81gnated to cast the votes attributable to that Unit, on behalf <br />of all the OWners of that Unit. Membersh1p in the Associatlon <br />.hall automat1cally pass whe.l the O';Inership of a Unit i. <br />transferred in any manner. <br /> <br />Section 3. Regiatration of OWner. It shall be the duty <br />of each OWner to register with the Secretary of the Association in <br />writing (1) the na~e and address of such Owner, (ii) the nature <br />and satisfactory eV1dence of such Owner's 1nterest or estate in a <br />Unit: end (iil) the addresses at which such Owner desires to <br />receive notlce of any duly called moeting of the Members. If an <br />Owner does not register as provided in th1s paragraph, the <br />A.aoclat1on shall be under no duty to recognize the righta of luch <br /> <br />EXHIBIT E <br />
