Owners of record shall be those Owners who are registered with the Secretary as provided in Article 1 Section 3 on a date specifie1 by the Board of Directors (the "Record Date"). Such Owners of record shall be entitled to notice of any duly called mee~ing of the Members: provided that the Bo~rd of Directors ~ay not Bpecify a Record Date which is more than 35 days prior to the date of an annual meet~ng or more than 20 days prlor to the date of a special meeting. An Owner may at any time waive notice of any meeting by a signed writ~n9 or by attendance at the meetlng. Section 5. Quorum ~nd A~Journment. The presence of members in person or represented by proxy who have the author~ty to cast ten percent of the total of the votes of all members of the Association shall be requisite for and 8~all con;titut~ a quorum at all meetings of the Associat~on for the tran8act~on of business except that of adjourning the meeting to reconveae at a subsequent time and except as otherwise provided by law. If. h~ever. such percentage shall not be present or represented at any such meeting. the members entitled to vote thereat, present in person or by proxy. shall have p~er ~o adJourn the meeting f~om ~ime to time w~thout notice other tha~ announcement at the meeting until a quorum dhall be present, at which time any business may be transacted which might have been transActed at t~~ meeting as initially called had a quorum then been presen~.
