Revised 1/7/2015 1 2 Standard Agreement for Professional Services 3 4 made 5This Agreement (“Agreement”) is on the twenty-sixthday of January, 2015, 6between the City of Roseville, amunicipal corporation (hereinafter “City”), and the Cleaning 7Authority,1301 Cliff Road East, Suite 115, Burnsville, MN 55337(hereinafter “Contractor”). 8 Preliminary Statement 9 10 11The City has adopted a policy regarding the selection and hiring of Contractors to provide a 12variety of professional services for City projects. That policy requires that persons, firms or 13corporations providing such services enter into written agreements with the City. The purpose of 14this Agreement is to set forth the terms and conditions for the performance of professional 15services by the Contractor. 16 17The City and Contractor agree as follows: 18 Scope of Work Proposal. 191.The Contractor agrees to provide the professional services 20shown in Exhibit “A” attached hereto (“Work”) in consideration for the compensation set 21forth in Provision 3 below.The terms of this Agreement shall take precedence over and 22supersede any provisions and/or conditions in any proposal submitted by the Contractor. 23 Term. 242.The term of this Agreement shall be from February 1, 2015through January 31, 252016,the date of signature by the parties notwithstanding. 26 Compensation for Services. 273.The City agrees to pay the Contractor the compensation 28described in Exhibit B attachedhereto for the Work, subject to the following: 29 30A.Any changes in the Workwhich may result in an increase to the compensation due 31the Contractor shall require prior written approval of the City. The City will not pay 32additional compensation for Work that does not have such prior written approval. 33 34B.Third party independent contractors and/or subcontractors may be retained by the 35Contractor when required by the complex orspecialized nature of the Work when 36authorized in writing by the City.The Contractor shall be responsible for and shall 37pay all costs and expenses payable to such third party contractorsunless otherwise 38agreed to by the parties in writing. 39 City Assistance. 404.The City agrees to provide the Contractor with the following assistance 41concerning the Work to be performed hereunder: 42 43A.Depending on the nature of the Work, Contractor may from time to time require 44access to public and private lands or property.
