Contractor 273also agrees that if applicable law limits or precludes any aspect of this indemnity, 274then the indemnity will be considered limited only to the extent necessary to comply 275with that applicable law. The stated indemnity continues until all applicable statutes 276of limitation have run. 277 278If a claim arises within the scope of the stated indemnity, the City may require 279Contractor to: 280 281a.Furnish and pay for a surety bond, satisfactory to the City, guaranteeing 282performance of the indemnity obligation; or 283 284b.Furnish a written acceptance of tender of defense and indemnity from 285Contractor’s insurance company. 286 287Contractor will take the action required by the City within fifteen (15) days of 288receiving notice from the City. 289 Ownership of Documents. 29019.All plans, diagrams, analysis, reports and information 291generated in connection with the performance of thisAgreement (“Information”) shall 292become the property of the City, but the Contractormay retain copies of such documents 293as records of the services provided. The City may use the Information for any reasons it 294deems appropriate without being liableto the Contractorfor such use.The Contractor 295shall not use or disclose the Information for purposes other than performing the Work 296contemplated by this Agreement without the prior consent of the City. 297 Conflicts. 29820.No salaried officer or employee of the City and no member of the City 299Councilshall have a financial interest, direct or indirect, in this Agreement. The 300violation of this provision shall renderthis Agreement void. 301 Governing Law. 30221.This Agreement shall be controlled by the laws of the State of 303Minnesota. 304 Counterparts. 30522.This Agreement may be executed in multiple counterparts, each of which 306shall be considered an original. 307 Severability 30823.. The provisions of this Agreement are severable. If any portion hereof is, 309for any reason, held by a court of competent jurisdiction to be contrary to law, such 310decision shall not affect the remaining provisions of this Agreement. 311 Entire Agreement. 31224.Unless stated otherwise in this Provision 26, theentire agreement of 313the parties is contained in this Agreement.
