PAYMENT AND DAMAGES <br />6.05Liquidated Damages <br /> <br /> <br />The Contractor shall agree, in addition to any other remedies available to the City, that the City <br />may withhold payment from the Contractor in the amounts specified below as liquidated <br />damages for failure of the Contractor to fulfill its obligations. <br />The following acts or omissions shall be considered a breach of the Agreement: <br />a) Failure to clean up before the end of the Clean Up Day material spilled by Contractor <br />as determined by City staff. <br />$500 each incident <br />b) Failure to segregate from other materials, store and deliver to an appropriate disposal <br />facility material dropped off at the Clean Up Day. <br /> $500 each incident <br />The Contractor shall be liable for liquidated damages amount(s) upon determination of the City <br />of Roseville that performance has not occurred consistent with the provisions of the contract. <br />The City shall notify Contractor in writing or electronically of each act or omission in this <br />Agreement reported to or discovered by the City. It shall be the duty of Contractor to take <br />whatever steps or action may be necessary to remedy the cause of the complaint. <br />The City may deduct the full amount of any damages from any payment due to the Contractor. If <br />the amount of any damages exceeds the payment due the Contractor, the City shall bill the <br />Contractor for the additional amount.
