<br />ARTICLE X <br /> <br />TERMINATION OF AGREElVIENT <br /> <br />Section 10.1. Termination. The City may terminate this Agreement as provided herein, <br />and otherwise this Agreement shall terminate upon paYment of the Tax Increment Notes in <br />accordance with their terms (or termination of the Tax Increment District, if earlier) and the <br />discharge of all of the City's and Redeveloper's respective obligations hereunder. <br /> <br />Section 10.2. Sections to Survive Termination. The following shall survive termination <br />of this Agreement: <br /> <br />( a) The Redeveloper's obligation to indemnify the City pursuant to Section 3.1 (b), <br /> <br />(b) Any indemnification or other rights or remedies arising hereunder due to any <br />Event of Default which occurred prior to such termination, and <br /> <br />(c) The Declaration of Protective Covenants and Prohibition Against Tax Exemption. <br /> <br />IN WITNESS WHEREOF, the City has caused this Agreement to be duly executed in its <br />name and behalf by its duly authorized representatives, and the Redeveloper has caused this <br />Agreement to be duly executed in its name and behalfby its duly authorized representative, on or <br />as of the date of first above written. <br /> <br />G:\WPDATA\R\ROSEVILLE\17\DOCS\REDEV AGREE V10.DOC <br /> <br />(signature pages follow) <br /> <br />40 <br />
