NOW, THEREFORE, BE IT RESOLVED, that the City Council ("Council") of the City of <br /> Roseville, Minnesota as follows: <br /> 1. The Council approves the Purchase Agreement providing for the purchase of the <br /> Development Property by the City, subject to modifications that do not alter the substance of <br /> the transaction and that are approved by the City Attorney, provided that execution of the <br /> Purchase Agreement shall be conclusive evidence of approval. <br /> 2. City staff and officials are authorized to take all actions necessary to perform the City's <br /> obligations under the Purchase Agreement as a whole, including without limitation making <br /> payments for the property purchase, consultants and closing costs outlined in the Purchase <br /> Agreement and execution of any documents necessary to purchase the Development <br /> Property by the City or referenced in the Purchase Agreement. <br /> The motion for the adoption of the foregoing resolution was duly seconded by Member <br /> Laliberte, and upon a vote being taken thereon, the following voted in favor thereof: Willmus, <br /> Laliberte, Etten, McGehee, and Mayor Roe. <br /> and the following voted against the same: None. <br /> WHEREUPON said resolution was declared duly passed and adopted. <br />
