This Agreement is effective upon approval of the Board of Directors of the HRA <br />48and the Roseville City Council, whichever occurs last, and shall continue until terminated <br />49by one or both of the parties as provided in paragraph 5 of this Agreement. <br />50 <br />514.Termination. This Agreement may be terminated by either party at any time, with or <br />52without cause, by giving the other party written notice of such termination at least 30 <br />53days prior to the date of such termination, which shall be stated in the notice. In the event <br />54of unilateral termination by the HRA, the HRA shall be responsible for remittance of any <br />55Total Fee installment payments incurred prior to the date of actual termination of this <br />56Agreement. In the event of unilateral termination by the City, the HRA shall be <br />57responsible for remittance of any Total Fee installment payments incurred prior to the <br />58City’s written notice of termination. In the event of the parties’ mutual agreement to <br />59terminate this Agreement, the parties’ shall agree upon the extent of Total Fee remittance <br />60prior to the date of actual termination of this Agreement. <br />61 <br />625.Employment Status and Control of Work. The parties expressly agree that the City <br />63provides, at its own expense, all personnel, materials, supplies and equipment required to <br />64fulfill the services contemplated by this Agreement. Any personnel assigned by the City <br />65to perform work under this Agreement shall remain the exclusive employee of the City <br />66for all purposes, including but not limited to wages, salary, benefits and workers’ <br />67compensation. Such City personnel shall not be entitled to any compensation, rights or <br />68benefits of any kind from the HRA including, workers’ compensation benefits, <br />69unemployment compensation, disability, severance pay, or retirement benefits. The City <br />70further retains all exclusive rights and control over the hiring, firing, promotion, <br />71demotion, or any other employment action regarding said personnel. The HRA expressly <br />72disavows any authority to hire, fire, promote, demote, or take any other employment <br />73action for or against personnel provided by the City pursuant to this Agreement. <br />74 <br />756.Notices.
