Attachment A <br />Section 5 Adjournment <br />If any meeting of the members be adjourned to another time or place, no notice of such <br />adjourned meeting need be given other than by announcement at the meeting at which <br />such adjournment is taken, except as provided in Section 7. <br />Section 6 Notice of Meetings - Waiver <br />Written notice of each meeting of the members stating the time and place, and in the case <br />of a special meeting, the purpose, shall be mailed at least five (5) days and within thirty <br />(30) days prior to the meeting to each member entitled to vote at such meeting at such <br />address as appears on the books of the Association. Notice of the time, place and <br />purpose of any meeting of the members may be waived in writing by any member; such <br />waiver may be given before or after the meeting and shall be filed with the Secretary or <br />entered upon the records of the meeting. Attendance by a member at a meeting is a waiver <br />of notice of that meeting, except where the member objects at the beginning of the meeting <br />to the transaction of business because the meeting is not lawfully called or convened, or <br />objects before a vote on a item of business because the item may not lawfully be <br />considered at that meeting, and does not participate in the consideration of the item at the <br />meeting. <br />Section 7 Quorum <br />The presence in person or by proxy of a majority of the members entitled to vote at any <br />meeting of inembers shall constitute a quorum of inembers for the transaction of business. <br />In the absence of such a quorum, the members may adjourn to such future date, and <br />notice of such future meeting shall be mailed to each member entitled to vote, at least five <br />(5) days before such adjourned meeting. The members present at a duly called or held <br />meeting, at which a quorum of inembers are present, may continue to transact business <br />until adjournment, notwithstanding the withdrawal of enough members to leave less than a <br />quorum. <br />Section 8 Voting Rights <br />Each active member of record as defined in Section 52, shall be entitled at each <br />meeting, to one vote on any matter of business properly submitted to the <br />membership. There shall be no cumulative voting. <br />Section 9 Proxies <br />A member may cast their vote in person or through proxy. The appointment of a proxy <br />shall be in writing, signed by the absent member, and filed with the Secretary at or before <br />the meeting. <br />Section 9A Certificate of Membership <br />The Certificate of Membership if any, shall be signed by the President and Secretary of the <br />Association. <br />rl <br />
