Attachment A Section 5 Adjournment If any meeting of the members be adjourned to another time or place, no notice of such adjourned meeting need be given other than by announcement at the meeting at which such adjournment is taken, except as provided in Section 7. Section 6 Notice of Meetings - Waiver Written notice of each meeting of the members stating the time and place, and in the case of a special meeting, the purpose, shall be mailed at least five (5) days and within thirty (30) days prior to the meeting to each member entitled to vote at such meeting at such address as appears on the books of the Association. Notice of the time, place and purpose of any meeting of the members may be waived in writing by any member; such waiver may be given before or after the meeting and shall be filed with the Secretary or entered upon the records of the meeting. Attendance by a member at a meeting is a waiver of notice of that meeting, except where the member objects at the beginning of the meeting to the transaction of business because the meeting is not lawfully called or convened, or objects before a vote on a item of business because the item may not lawfully be considered at that meeting, and does not participate in the consideration of the item at the meeting. Section 7 Quorum The presence in person or by proxy of a majority of the members entitled to vote at any meeting of inembers shall constitute a quorum of inembers for the transaction of business. In the absence of such a quorum, the members may adjourn to such future date, and notice of such future meeting shall be mailed to each member entitled to vote, at least five (5) days before such adjourned meeting. The members present at a duly called or held meeting, at which a quorum of inembers are present, may continue to transact business until adjournment, notwithstanding the withdrawal of enough members to leave less than a quorum. Section 8 Voting Rights Each active member of record as defined in Section 52, shall be entitled at each meeting, to one vote on any matter of business properly submitted to the membership. There shall be no cumulative voting. Section 9 Proxies A member may cast their vote in person or through proxy. The appointment of a proxy shall be in writing, signed by the absent member, and filed with the Secretary at or before the meeting. Section 9A Certificate of Membership The Certificate of Membership if any, shall be signed by the President and Secretary of the Association. rl
