event the City elects to purchase the Facility, it also agrees to assume all financial and <br />contractual obligations of the Facility as of the date of the purchase, provided such financial <br />obligations related to debt financing do not exceed five percent (5%) of the total cost to initially <br />design and construct the Facility. In the event the City decides to exercise its option to purchase <br />the Facility, Sundial agrees to fully disclose to the City all costs of design, construction, financing <br />and related project expenses that were required to build and operate the Facility during the <br />initial five years of operation. <br />TO BE SIGNED BY PARTIES AS AN ADDENDUM TO PROJECT AGREEMENT <br />IV.
