Attachment A <br />PURCHASE AND REDEVELOPMENT CONTRACT <br />THIS AGREEMENT, made as of the _ day of , 2015, by and between the City <br />of Roseville (the "City"), a Minnesota municipal corporation, and Dale Street Station, LLC <br />(the "Redeveloper"), a Minnesota limited liability company. <br />WITNESSETH: <br />WHEREAS, the Housing and Redevelopment Authority in and for the City of Roseville <br />(the "Authority") and the Redeveloper had begun work on a redevelopment project to be <br />constructed on certain land located in the City, a portion of which was owned by the Authority and <br />a portion by the City, such property (the "Redevelopment Property") legally described on Schedule <br />A; <br />WHEREAS, the City determined that the redevelopment project could be more effectively <br />and efficiently undertaken by the City directly under its authority pursuant to the Development Act <br />as hereinafter defined; <br />WHEREAS, the Authority has subsequently conveyed its portion of the Redevelopment <br />Property it owned to the City and consequently the City now owns the entire Redevelopment <br />Property; <br />WHEREAS, the City has heretofore created Development District No. 1(hereinafter <br />referred to as the "Development District"), pursuant to the Development Act and the <br />Redevelopment Property is located therein. <br />WHEREAS, the City has authority to convey the Redevelopment Property far <br />redevelopment purposes and has selected the Redeveloper for the development of the Minimum <br />Improvements (as hereinafter defined); <br />WHEREAS, the City has further determined that the redevelopment will require financial <br />assistance as provided in this Agreement to be financial feasible and to allow the creation of the <br />quality of housing at the prices desired by the City; <br />WHEREAS, the City believes that the redevelopment of the Redevelopment Property <br />pursuant to this Agreement, and fulfillment generally of this Agreement, are in the vital and best <br />interests of the City and the health, safety, morals, and welfare of its residents, and in accord with <br />the public purposes and provisions of the applicable State and local laws and requirements under <br />which the Project has been undertaken and is being assisted. <br />NOW, THEREFORE, in consideration of the premises and the mutual obligations of the <br />parties hereto, each of them does hereby covenant and agree with the other as follows: <br />1 <br />7174856v3 <br />
