Attachment A <br />ARTICLE III <br />Property Acquisition <br />Section 3. L Conveyance of the Property. (a) The City will convey title to and <br />possession of the Redevelopment Property to the Redeveloper at a Closing (as defined in Section <br />3.3(b) hereo�, subject to all the terms and conditions of this Agreement. <br />(b) On or before the Closing, the Redeveloper shall prepare and obtain City approval of <br />a plat of the Redevelopment Property (the "Redevelopment Plat") at Redeveloper's cost and <br />subject to all City ordinances and procedures. Nothing in this Agreement is intended to limit the <br />City's authority in reviewing the preliminary plat, or to preclude revisions requested or required by <br />the City. <br />Section 3.2. Purchase Price; Provisions for Payment. The purchase price to be paid to <br />the City by the Redeveloper in exchange for the conveyance of the Redevelopment Property shall <br />be $1,120,017.42, payable at the Closing. At closing upon payment of the purchase price of <br />$1,120,017.42 by the Developer the City shall reimburse the Developer for the purchase price <br />from Pooled Tax Increments. <br />Section 3.3. Conditions of Conve.�. (a) The City shall convey title to and <br />possession of the Redevelopment Property to the Redeveloper by quit claim deed substantially in <br />the form set forth on Schedule B to this Agreement (the "Deed"). The City's obligation to convey <br />the Redevelopment Property to the Redeveloper is subject to satisfaction of the following terms <br />and conditions: <br />(1) The City having approved permanent financing for construction of a portion <br />of the Minimum Improvements related to the first phase in accardance with Article VII <br />hereof, and the Redeveloper having closed on such permanent financing related to such <br />phase at or before Closing on transfer of title to the Redevelopment Property to the <br />Redeveloper. <br />(2) The City having approved the Redevelopment Plat in accordance with <br />Section 3.1, and the Redeveloper having recorded the Redevelopment Plat at or before the <br />Closing. <br />(3) The City having approved all necessary zoning approvals, including any <br />variances, for the Project on the Redevelopment Property in accordance with Section 3.1. <br />(4) The City having approved Construction Plans for the Minimum <br />Improvements in accordance with Section 4.3. <br />(5) The Redeveloper having reviewed and approved (or waived objections to) <br />title to the Redevelopment Property as set forth in Section 3.5. <br />(6) There being no uncured Event of Default under this Agreement. <br />7 <br />7174856v3 <br />
