Attachment A <br />SCHEDULE D <br />CERTIFICATE OF COMPLETION <br />WHEREAS, the City of Roseville, Minnesota, a Minnesota municipal Corporation and <br />Dale Street Station, LLC ("Redeveloper") entered into a certain Purchase and Redevelopment <br />Contract dated , 2015 ("Contract"), filed as Document No. at the <br />office of the County Registrar of Titles; and <br />WHEREAS, the Contract contains certain covenants and restrictions set forth in <br />Articles III and IV thereof related to completing certain Minimum Improvements; and <br />WHEREAS, the Redeveloper has performed said covenants and conditions insofar as it is <br />able in a manner deemed sufficient by the City to permit the eXecution and recording of this <br />certification; <br />NOW, THEREFORE, this is to certify that all construction and other physical <br />improvements related to the respective phase of the Minimum Improvements specified to be done <br />and made by the Redeveloper have been completed and the agreements and covenants in Articles <br />III and IV of the Contract have been performed by the Redeveloper, and this Certificate is intended <br />to be a conclusive determination of the satisfactory termination of the covenants and conditions of <br />Articles III and IV of the Contract related to completion of the respective phase of the Minimum <br />Improvements, but any other covenants in the Contract shall remain in full force and effect. <br />Dated: , 20 <br />CITY OF ROSEVILLE <br />City Representative <br />D-1 <br />7174856v3 <br />
