Attachment B <br />152 location of all improvements, wetlands and easements, and the location oi the <br />153 property boundaries) shown in the survey and by boundary markers placed on the <br />154 Property are satisfactory to the Purchaser (the "Survey Contingency"). <br />155 <br />156 <br />157 <br />158 <br />159 <br />160 <br />161 <br />162 <br />163 <br />164 <br />165 <br />166 <br />167 <br />168 <br />169 <br />170 <br />171 <br />172 <br />173 <br />174 <br />175 <br />176 <br />177 <br />178 <br />179 <br />180 <br />181 <br />182 <br />183 <br />184 <br />185 <br />186 <br />187 <br />188 <br />f. <br />g• <br />h. <br />The Purchaser shall have determined within thirty (30) days after the Effective <br />Date, that it is satisfied with the physical condition of the Property, and with the <br />zoning, access, drainage, floodplain designation, wetland areas, acreage, <br />dimensions, and all other features and conditions of the Property which Purchaser <br />deems necessary for Purchaser to purchase the Property (the "Physical <br />Condition Contingency"). <br />Within thirty (30) days after the Effective Date, Seller and Purchaser shall have <br />negotiated the private Shared Driveway agreement pursuant to the terms of <br />Section 7, to the satisfaction of Purchaser in its sole discretion. <br />Seller shall have closed on the purchase of the Land and Applewood Pointe <br />(collectively, the "School Property") pursuant to the terms of the School District <br />Agreement, as modified or amended (the "School Property Contingency"). <br />Within thirty (30) days after the Effective Date, Seller has determined that the <br />physical condition and title to the City Parcel is acceptable, in Seller's sole and <br />absolute discretion (the "City Parcel Contingency"). <br />On or before the Closing Date, Seller has obtained all governmental approvals, <br />permits and licenses which are necessary (in Seller's sole and absolute <br />discretion) far the development of Applewood Pointe Cooperative of Roseville at <br />Central Park (the "Applewood Pointe Contingency"). <br />On or before the date which is thirty (30) days after the Effective Date hereof, <br />Seller shall, by giving written notice to Purchaser, either: <br />(i) <br />Terminate this Agreement if any one or more of the Contingencies in <br />sections 3 g., 3 h., or 3 i. above (the "Seller Contingencies") have not <br />been satisfied; or <br />Waive the Seller Contingencies and proceed to closing. <br />189 If Seller elects to terminate this Agreement under clause (i) above, then upon <br />190 Purchaser's receipt of Seller's written notice of termination, this Agreement shall <br />191 be null and void, all Earnest Money shall be returned by Title Company to <br />192 Purchaser, and neither party shall have any further obligation to the other. <br />193 <br />194 <br />195 <br />196 <br />197 <br />198 <br />199 <br />200 <br />201 <br />202 <br />k. <br />In the event Seller fails to give Purchaser written notice that it is proceeding <br />under clause (i) or (ii) above by the end of the thirty day period described above, <br />then it shall be deemed that Seller is proceeding under clause (ii). <br />On or before that date which is thirty (30) days after the Effective Date hereof, <br />Purchaser shall, by giving written notice to Seller, either: <br />(i) Terminate this Agreemeni if one or more of the Contingencies in <br />sections 3 a. through 3 f. above (the "Purchaser Contingencies") have <br />0 <br />
