<br />The Articles of Incorporation of the Good Samaritan Society charge the Board of Directors with administering the affairs of the Society. In its
<br />governance role, the Board meets regularly to:
<br />• Establish policies;
<br />Focus on visioning for the future in an ever-changing healthcare and service delivery environment;
<br />Exercise its fiduciary responsibilities, including investment strategy and approval of acquisitions and divestitures;
<br />• Oversee its legal responsibilities, including compliance, audit and diligence; and
<br />• Monitor, advise and support the president in implementing initiatives of the Society.
<br />The Board of Directors includes the Good Samaritan Society's president, six Good Samaritan Society administrators and nine individuals
<br />from the larger community who bring to the Board a wide range of experiences and professional expertise. Board members are elected at the
<br />annual business meeting of the Society and serve without remuneration. They are eligible for election to two consecutive three-year terms. (At
<br />the time of this report, two positions were open.) Officers of the Board of Directors are elected to one-year terms as specified in the bylaws.
<br />Board members and officers of the Society are shared with related corporations as defined in their respective Articles of Incorporation.
