Item No.a, Attachment A 46 WHEREAS, the HRA finds and determines that it is in the best interests of the proper 47 administration of the affairs of the HRA, the EDA and the City that 48 appropriate steps be taken to effect the transfer of all projects and programs 49 of the HRA to the EDA hereby complying with the terms of the Enabling 50 Resolution and the Act; 51 52 NOW, THEREFORE, BE IT RESOLVED, that: 53 54 Section 1. Transfer. 55 56 1.01. Attached as Exhibit A is a list of all outstanding contracts to which the HRA 57 is a party. The rights, duties and obligations of each of the contracts listed in Exhibit A are 58 transferred, assigned and released, without qualification, to the EDA. Any contractual 59 obligation of the HRA not listed in Exhibit A is similarly transferred, assigned and released 60 to the EDA. 61 62 1.02. Attached as Exhibit B is a list of current activities of the HRA. All of the 63 HRA's interest in and duties and obligations heretofore exercised in the activities listed in 64 Exhibit B are transferred, assigned and released to the EDA. 65 66 1.03. The HRA assigns and transfers to the EDA, and releases all claims to any 67 and all funds in its possession and all interest in and claims to moneys in the process of 68 collection to the EDA; provided that it is expressly understood that such funds and moneys 69 so transferred include amounts necessary to reimburse HRA commissioners and staff for 70 necessary expenses incurred to and including the date of this resolution and to pay such 71 amounts to the commissioners and staff entitled to those expenses and payments. Upon a 72 final accounting by HRA staff, a complete list of such amounts will be presented to the 73 Treasurer, and the Treasurer will promptly discharge such amounts. 74 Section 2. Miscellaneous. 75 76 77 2.01. It is the intent of the HRA in adopting this resolution that all of the HRA's 78 interest, rights, duties, responsibilities and obligations in each and every HRA project and 79 program, as contemplated by the Act, be effectively transferred to the EDA and that the 80 supervision and control of all employees of the HRA be placed under the supervision and 81 control of the EDA. 82 83 2.02. The Chair and Executive Director are authorized and directed to transmit a 84 certified copy of this resolution to the President of the EDA, the Mayor of the City and the 85 Minnesota Department of Employment and Economic Development and to transmit a 86 certified copy of this resolution to the County Auditor and the County Recorder for filing in 87 the appropriate records of Ramsey County. 88 89 2.03. The Chair and the Executive Director are authorized and directed to take 90 appropriate actions to notify any and all parties to the contracts listed in Exhibit A, and the
