"Lockout Device" means an optional mechanical or electrical accessory to <br />a Subscriber's terminal which inhibits the viewing of a certain program. <br />certain channel, or certain channels provided by way of the Cable <br />Communication System. <br /> <br />q. .. Memorandum of U nderstandiog" or .. MQ!l" means that certain agreement <br />dated November 3, 1994 regarding PEG access funding. creation of a <br />"PEG Fee" and certain rate regulatory issues. <br /> <br />r. "North Suburbs Access Corporation" means that certain non-profit <br />corporation or its lawful successor, designee, or assignee. which is <br />delegated authority and responsibility for providing certain community <br />prograI11p1ing functions including public access. <br /> <br />s. "North Suburban System" means the Cable System located in those <br />municipalities collectively comprising the North Suburban Cable Service <br />territory as originally approved by the Minnesota Cable Communications <br />Board. <br /> <br />t. "Pay Television" means the delivery over the System of pay-per-channel <br />or pay-per-program audio-visual signals to Subscribers for a fee or charge, <br />in addition to the charge for Basic Cable Service or Cable Programming <br />Services. <br /> <br />u. "Person" is any person, firm, partnership, association, corporation, <br />company, or other legal entity. <br /> <br />v. "Pro~osal" means the Proposal for Franchise Renewal dated May 13. 1997, <br />submitted to the North Suburban Cable Communications Commission by <br />Group W Cable of the North Suburbs, Inc., as amended by the revised <br />Renewal Proposal submitted under cover letter dated August, 4, 1997, and <br />related correspondence and prior agreements or resolutions which are <br />attached hereto as Exhibit A. <br /> <br />w. "Right-of-Way" or "Rights-of-Way" means the area on, below, or above <br />any real property in City in which the City has an interest including, but <br />not limited to any street, road, highway, alley, sidewalk, parkway, park, <br />skyway, or any other place, area, or real property owned by or under the <br />control of City, including other dedicated Rights-of-Way for travel <br />purposes and utility easements. <br /> <br />x. "Right-of-Way Ordinance"means the ordinance codifying requirements <br />regarding regulation, management and use of Rights-of-Way in City, <br />including registration and permitting requirements. <br /> <br />4 <br />
