EXTRACT OF MINUTES OF MEETING <br />OF THE <br />CITY COUNCIL OF THE CITY OF ROSEVILLE <br />����������������� <br />Pursuant to due call and notice thereof, a regular meeting of the City Council of the City of <br />Roseville, Minnesota was duly held on the 13th day of June, 2016, at 6:00 p.m. <br />The following members were present: Laliberte, McGehee, Willmus, Etten and Mayor Roe, and <br />the following were absent: none. <br />Member Willmus introduced the following resolution and moved its adoption: <br />RESOLUTION No. 11329 <br />RESOLUTION APPROVING THE PURCHASE/SALE OF CERTAIN LAND BY THE <br />CITY OF ROSEVILLE <br />WHEREAS, the Trustee of the Constance J. Ternes Revocable Trust ("Seller") owns certain vacant <br />real estate located at 0 Cleveland Avenue in Roseville, Minnesota, as legally described in the <br />attached Purchase Agreement ("Property"); and <br />WHEREAS, the City of Roseville ("City") has determined that it should acquire the Property <br />pursuant to a Purchase Agreernent between the City and the Seller in substantially the form attached <br />hereto. <br />NOW, THEREFORE, BE IT RESOLVED, by the City Council ("Council") of the City of <br />Roseville, Minnesota as follows: <br />1. The Council approves the Property purchase. Approval of the Purchase Agreement is <br />subject to modifications that do not significantly alter the substance of the transaction and <br />that are approved by the City Attorney, provided that execution of the Purchase Agreement <br />shall be conclusive evidence of approval. <br />2. City staff and officials are authorized to take all actions necessary to perform the City's <br />obligations under the Purchase Agreement as a whole, including without limitation malcing <br />payments for the Property purchase, consultants, and closing costs outlined in the Purchase <br />Agreement, as well as execution of any documents necessary to close on the Property <br />acquisition. <br />The motion for the adoption of the foregoing resolution was duly seconded by Member Etten, <br />and upon a vote being talcen thereon, the following voted in favor thereof: Laliberte, McGehee, <br />Willmus, Etten and Mayor Roe and the following voted against the same: none. <br />
