Item 8h: Attachment If the Public Entity does not repay the amounts required to be paid under this Section oi- under any other provision contained in this A�reement �vithin 30 d�ys of demand by the Commissioner of M�VIB, or any amount ordered by a court of compet�nt jurisdiction �vithin 30 days of entiy of jud�ment against the Public Entity and in favor of the State Entity and/or the Commissioner of MMB, then such amount may, unless prectuded by la��, be taken from or off- set against any aids or other monies that the Public Entity is entitled to receive from the State of 1Vlinnesota. Section 2.09 Notification of Event of Default. The Public Entity shall furnish to the State Entity and the Commissioner of UI�IB, as soon as possibl� and in any event within 7 days after it has obtained knowled�e of the occur-rence of each Event of Default or each event which with the �ivin� of notice or lapse of time or both would constitute an Event of �Default, a statement settin� forth details of each Event of Default or event �vhich �� ith the �ivin� of notice or upon the lapse of time or both would constitute an Event of Default a�zd the action which the Public Entity pr•oposes to take with respect thereto. Section 2.10 Survival of Event of Defauit. This A,reement sha11 survive any and all Events of Default and remain in full force and effect e�-en upon the pay�nent of any amounts due undzr this A�reement, and shall only terminate in accordance ��ith the provisions contained in Section ?.12 and at the end of its teim in accordance �vith th;, provi�ion� contained in Section 2.11. Section 2.11 Term of Grant �areement. This AUreement shall, unless earlier terminated in accordance �vith any of the provisions contained herein, r�main in fu11 force and effzct for the time period startin� on the effecti�-e data hereof and �rdina on the date that eorr�sponds to the date establisheci bv addin� a time period ec�ual to 12>°0 of Useful Life of the Real Property and, if applicable, Facility to the date on ��hich the Real Property and, if applieable, Facility is tirst used for the operaTion of the Statz Pro�ram after such effecti�-e date. If there are no uncured Events of Default as of such date this A�7reement shall teiminate and no lon�er be of any force or effect, and the Commissioner of MMB shall eYecute whatever documents are needed to release the Rea1 Property and, if applicable, Facility from Che effect of this A�reement and the Declaration. Section ?.12 NIodificadon and/or Earlv Termination of Grant. If the full amount of the Pro�-am Grant has not been disbursed on or beFore the date that is � y�ears from the effective date of this A�reement, or such later date to which the Public Entity and the State Entity may agrez in ��ritina, theu the State Entity's obliaation to fund the Pro�am Grant shall terminate. In such event, (i) if none of the Pro�ram Grant has been disbursed by such date then the State Entity's obligation to ftind any portion of the Pro�rain Grant shall terminate and this Aareement shall terminate and no longer be of any force or effect, and (ii) if some but not a11 of the Pro�-am Grant has been disbursed by such date then the State Entity shall have no further obli�ation to provide any additional funding for the Pro�ram Grant and this A;reemenT shall remain in full force and effect but shall be modified and amended to reflect the amot�nt of the Program Grant that �vas actually disbursed as of such date.
