Attachment A <br />46 <br />47WHEREAS,the Authority finds that the execution and approval of routine documents or <br />48agreements by the Executive Director as described herein will be <br />49beneficial to the affairs of the Authority and the City of Roseville. <br />50 <br />51NOW, THEREFORE, BE IT RESOLVED, that based upon the foregoing, <br />52 <br />531.The approval and execution of the routine documents and agreements on <br />54behalf of the Authority as described herein is hereby authorized and delegated to the <br />55Executive Director of the Authority. <br />56 <br />572.The Executive Director’s ability to authorize expenditures on behalf of the <br />58Authority is limited as follows: <br />59A.Approved expenditures must be for a purpose and up to the amount <br />60authorized by the Authority’s adopted budget and applicable work plan. <br />61B.Expenditures cannot be approved for purposes described in the <br />62Authority’s adopted budget and applicable work plan unless there is a sufficient <br />63unexpended balance. <br />64C.The Finance Director of the City shall approve such expenditure. <br />65 <br />663.If the Executive Director approves an expenditure for any purpose not <br />67authorized in the Authority’s adopted budget or for any amount in excess of the amount <br />68authorized due to his or her gross negligence or willful misconduct, the Executive <br />69Director shall not be indemnified and any amount expended in excess of what is <br />70authorized shall bea personal obligation of the incurring such expenditure. <br />71 <br />724.All documents and agreements executed by the Executive Director of the <br />73Authority pursuant to the authority delegated by this resolution shall be reported to the <br />74Board of the Authority. <br />75 <br />765.This resolution shall be in full force and effect as of the date hereof. <br />77 <br />78 <br />79 <br />80The motion for the adoption of the foregoing resolution was duly seconded by Member <br />81 <br />82 , and upon a vote being taken thereon, the following voted in favor thereof: <br />83 <br />84 and the following voted against the same: <br />85 <br />86WHEREUPON said resolution was declared duly passed and adopted. <br />87 <br />88 <br />89 <br /> <br />
