Attachment A <br />41 <br />42 PURCHASE AND DEVELOPMENT CONTRACT <br />43 <br />44 <br />th <br />45 THIS AGREEMENT, <br />made and entered into as of this 8 day of May, 2017, by and <br />46 <br />between the Roseville Economic Development Authority, a public body corporate and politic <br />47 <br />under the laws of the State of Minnesota (“Authority”) and Journey Home Minnesota, a <br />48 <br />Minnesota nonprofit corporation (“Developer”). <br />49 <br />50 WITNESSETH: <br />51 <br />52 WHEREAS <br />, the City of Roseville (“City”) and the Housing and Redevelopment <br />53 <br />Authority in and for the City of Roseville (the “HRA”) have previously created and established a <br />54 <br />Redevelopment Project (“Project”) pursuant to the authority granted in Minnesota Statutes, <br />55 <br />Sections 469.001 through 469.047 (the “HRA Act”); and <br />56 <br />57 WHEREAS <br />, pursuant to the Act, the City and the Authority have previously adopted a <br />58 <br />redevelopment plan for the Project (“Redevelopment Plan”); and <br />59 <br />60 <br /> WHEREAS, the HRA has transferred the control and administration of the Project to the <br />61 <br />Authority, which is authorized to exercise the powers of a housing and redevelopment authority <br />62 <br />under Minnesota Statutes, Sections 469.090 through 469.1081, as amended (the “Act”); and <br />63 <br />64 WHEREAS <br />, in order to achieve the objectives of the Redevelopment Plan and <br />65 <br />particularly to make specified land in the Project available for development by private enterprise <br />66 <br />for and in accordance with the Redevelopment Plan, the Authority has determined to provide <br />67 <br />substantial aid and assistance to finance development costs in the Project; and <br />68 <br />69 WHEREAS <br />, the Developer has proposed a development as hereinafter defined within <br />70 <br />the Project which the Authority has determined will promote and carry out the objectives for <br />71 <br />which the Project has been undertaken, will assist in carrying out the obligations of the <br />72 <br />Redevelopment Plan, will be in the vital best interests of the City and the health, safety and <br />73 <br />welfare of its residents and is in accord with the public purposes and provisions of the applicable <br />74 <br />state and local laws and requirements under which development in the Project has been <br />75 <br />undertaken and is being assisted. <br />76 <br />77 NOW, THEREFORE <br />, in consideration of the mutual covenants and obligations of the <br />78 <br />Authority and the Developer, each party does hereby represent, covenant and agree with the <br />79 <br />other as follows: <br />80 <br />81 ARTICLE I. <br />82 <br />83 DEFINITIONS, EXHIBITS, RULES OF INTERPRETATION <br />84 <br />85 Section 1.1.
