6. Miscellaneous. <br /> a Recitals. The parties acknowledge and agree that the recitals as contained in <br /> this Agreement are true and correct and incorporate all of such recitals into this <br /> Agreement. <br /> h Successors and Assigns. The Grantor, for itself and its successors and assigns, <br /> covenants with the City, and its successors and assigns, that it is the owner of <br /> the Easement Area and has good right to grant and convey the Easement to the <br /> City. The Easement shall be binding upon the Grantor and its successors and <br /> assigns, shall inure to the benefit of the City and its successors and assigns, and <br /> shall run with the land. <br /> a Severability. The invalidity of any part of this Agreement shall not be deemed <br /> to impair or affect in any manner the validity, enforceability or effect of the <br /> remainder of this Agreement, and, in such event, all of the other provisions of <br /> this Agreement shall continue in full force and effect as if such invalid <br /> provisions had not been included herein. <br /> d Complete Agreement. This Agreement, including all exhibits, constitutes the <br /> complete agreement between the parties with respect to the matters addressed <br /> herein. This Agreement shall be amended only in a writing duly executed by <br /> the parties to this Agreement. <br /> e. Captions. The captions herein are inserted only for reference, and in no way <br /> define, limit or describe the scope of this Agreement or the meaning of any <br /> provision hereof. <br /> £ Authority. Each of the undersigned parties represents and warrants that it has <br /> full authority to enter into this Agreement, and each individual signing this <br /> Agreement on behalf of a corporation or other entity hereby represents and <br /> warrants that he or she has full authority to sign on behalf of and to bind that <br /> party thereby. <br /> g Governing. This Agreement shall be construed in accordance with and <br /> subject to the provisions of the law of the State of Minnesota. <br /> h Counterparts. This Agreement may be executed in two or more counterparts, <br /> each of which shall be deemed an original and all of which together shall <br /> constitute one and the same instrument. <br /> TO HAVE AND TO HOLD THE SAME, together with all the hereditaments and <br /> appurtenances thereunto belonging, or in anywise appertaining, to the City, its successors and <br /> assigns, forever. <br /> 3 <br />
