15. The action or inaction of the City shall not constitute a waiver or amendment to <br /> the provisions of this Agreement. To be binding, amendments or waivers must be in writing, <br /> signed by the parties, and approved by the Roseville City Council. The City's failure to <br /> promptly take legal action to enforce a default under this Agreement shall not be a waiver or <br /> release of such default. <br /> 16. The Owners were advised and had the opportunity to seek independent legal <br /> counsel in connection with this Agreement. The Owners have read and understand the terms of <br /> this Agreement. <br /> 17. This written Agreement constitutes the complete agreement between the parties <br /> and supersedes any prior oral or written agreements between the parties regarding the Owners' <br /> properties, the Easements, the Easement Area, and the Driveway; provided however, the Owners <br /> hereby confirm and restate the Shared Driveway Agreement. To the extent any provisions of the <br /> Shared Driveway Agreement conflict with the provisions of this Agreement, the provisions of <br /> this Agreement shall prevail. <br /> 18. Any notice to be given by any party upon another under this Agreement shall be <br /> properly given if personally given to the other party; or if mailed to the other by United States <br /> registered or certified mail, return receipt requested, postage prepaid, addressed in the manner set <br /> forth below; or if given to a nationally recognized, reputable overnight courier for overnight <br /> delivery to the other addressed as follows: <br /> If to the City: City of Roseville <br /> Roseville City Hall <br /> 2660 Civic Center Drive <br /> Roseville, MN 55113 <br /> Attn: City Manager <br /> 7 <br />
