6. The Owners grant the City and its contractor, employees, and agents the right to <br /> enter and use the 2095 Easement Area and the 2105 Easement Area as necessary to complete the <br /> 2017 Driveway Project. <br /> 7. After the City completes the 2017 Driveway Project, the Owners shall pay all <br /> other Driveway maintenance expenses, with no right to contribution, off-set, or any <br /> compensation from the City. The Owners shall be responsible for removal of all snow, debris, <br /> obstacles, and obstructions, all pothole repairs, and all other actions to maintain the Driveway in <br /> a neat, clean, and safe condition. <br /> 8. The Owners shall be responsible for obtaining and paying for all permits, <br /> variances, approvals, costs, fees, and other expenses necessary for Driveway maintenance. The <br /> Driveway maintenance shall be in compliance with all laws, rules, regulations, codes, and <br /> ordinances imposed by all governmental authorities which have jurisdiction over the Driveway <br /> and the Easement Area. <br /> 9. The Owners hereby covenant and agree to release, indemnify, defend, and hold <br /> the City, and its mayor, council, officers, employees, attorneys, and agents, harmless from and <br /> against any and all claims, losses, liabilities, demands, actions, judgments, damages, penalties, <br /> fines, costs, and expenses (including the City's attorney's fees) arising out of or related to: (a) <br /> the condition of the Driveway; (b) the Driveway maintenance; (c) the existence of the Driveway <br /> in the Easement Area, including the City's expenses to remove and replace the Driveway in <br /> order to access the utilities underneath the Driveway; (d) use of the Driveway and the Easement <br /> Area by the Owners and their invitees, licensees, and others; and (e) any breach by the Owners <br /> of the covenants and conditions in this Agreement. <br /> 5 <br />
