<br />EXTRACT OF MINUTES OF MEETING OF THE <br /> <br />CITY COUNCIL OF THE CITY OF ROSEVILLE <br /> <br />* <br /> <br />* <br /> <br />* <br /> <br />* <br /> <br />* <br /> <br />* <br /> <br />* <br /> <br />* <br /> <br />* <br /> <br />* <br /> <br />* <br /> <br />Pursuant to due call and notice thereof, a regular meeting of the City <br />Council of the City of Roseville, County of Ramsey, Minnesota was duly <br />held on the 12th day of February, 1990, at 7:30 p.m. <br /> <br />The following members were present: Thomas, Maschka, Cushman, and <br />Rog, and the following were absent: Johnson. <br /> <br />Member Cushman introduced the following resolution and moved its <br />adoption: <br /> <br />RESOLUTION NO. 8544 <br /> <br />RESOLUTION AUTHORIZING CERTAIN ACTIONS WITH RESPECT TO A PROJECT <br />UNDER MINNESOTA STATUTES, CHAPTER 462C, AND <br />RENTAL HOUSING REVENUE BONDS ISSUED TO FINANCE THE PROJECT <br /> <br />BE IT RESOLVED, by the City Council of the city of Roseville, <br />Minnesota, as follows: <br /> <br />1. By resolutions adopted on October 28, 1985, and October 27, 1986, <br />the City Council authorized the issuance and remarketing of its <br />Rental Housing Revenue Bonds (Rosepointe I Project), Series 1985-A <br />in the principal amount of $14,400,000 (the "Bonds"). <br /> <br />2. In order to provide for certain amendments to the terms of the <br />Bonds, Rosepointe Housing Limited Partnership (the "Partnership") <br />has requested that the City Council approve the execution and <br />delivery of a Third Supplemental Indenture of Trust, dated as of <br />February 1, 1990, between Norwest Bank Minnesota, National <br />Association (the "Trustee") and the city (the "Supplement") and an <br />Amendment to Remarketing Agreement, dated as of February 1, 1990, <br />among the city, Miller & Schroeder Financial, Inc. (the <br />"Remarketing Agent"), the Trustee, and the Partnership (the <br />"Remarketing Amendment") . <br /> <br />3. Subject to the approval of the city Attorney and the provisions of <br />section 5, the forms of the Supplement and the Remarketing <br />Amendment are approved substantially in the forms submitted except <br />as otherwise provided in paragraph 5 hereof. The Supplement and <br />the Remarketing Amendment, in substantially the forms submitted, <br />are directed to be executed in the name and on behalf of the City <br />by the Mayor and the City Manager. Any other documents and <br />certificates necessary to the transaction described above shall be <br />executed by the appropriate City officers. Copies of all of the <br />documents necessary to the transaction herein described shall be <br />delivered, filed and recorded as provided herein and in said <br />Supplement and the Remarketing Amendment. <br />
