EXTRACT OF MINUTES OF MEETING <br /> OF THE <br /> CITY COUNCIL OF THE CITY OF ROSEVILLE <br /> Pursuant to due call and notice thereof, a regular meeting of the City Council of the City of <br /> Roseville, Minnesota was duly held on the 29th day of January, 2018, at 6:00 p.m. <br /> The following members were present: Laliberte, McGehee, Willmus, Etten, and Mayor Roe, and <br /> the following were absent: none. <br /> Member Willmus introduced the following resolution and moved its adoption: <br /> RESOLUTION No. 11487 <br /> RESOLUTION APPROVING THE PURCHASE/SALE OF CERTAIN LAND BY THE <br /> CITY OF ROSEVILLE <br /> WHEREAS, Roseville Center Limited Partnership, a Minnesota limited partnership ("Roseville <br /> Center") owns certain real estate located at 2719 Lexington Avenue in Roseville, Minnesota, as <br /> legally described in the attached Agreement in Lieu of Condemnation("Lexington Property'); and <br /> WHEREAS, the City of Roseville ("City") owns certain real estate located at 2501 Fairview <br /> Avenue in Roseville, Minnesota, as legally described in the attached Option Agreement ("Fairview <br /> Property"); and <br /> WHEREAS, the City has determined that, in lieu of acquiring the Lexington Property by eminent <br /> domain, it should acquire the Lexington Property pursuant to the Agreement in Lieu of <br /> Condemnation between the City and the Seller in substantially the form attached hereto; and <br /> WHEREAS, one of the terms of the Agreement in Lieu of Condemnation is that the City will <br /> execute an Option Agreement concerning the Fairview Property between the City and the Seller in <br /> substantially the form attached hereto. <br /> NOW, THEREFORE, BE IT RESOLVED, by the City Council ("Council") of the City of <br /> Roseville,Minnesota as follows: <br /> 1. The Council approves the Lexington Property purchase, including the execution of the <br /> Management Agreement between the Seller and the City upon the closing of the Lexington <br /> Property purchase. Approval of the Agreement in Lieu of Condemnation is subject to <br /> modifications that do not significantly alter the substance of the transaction and that are <br /> approved by the City Attorney, provided that execution of said Agreement shall be <br /> conclusive evidence of approval. <br />
