i <br /> I <br /> AGREEMENT IN LIEU OF <br /> CONDEMNATION <br /> I--- <br /> THIS <br /> -THIS AGREEMENT is made and entered into as of o 0/1'between Roseville Center <br /> Limited Partnership, a Minnesota limited partnership ("Seller") and the City of koseville, a Minnesota municipal <br /> corporation("Buyer"). <br /> In lieu of initiating or continuing eminent domain proceedings to acquire ownership of the Property <br /> described below, the Seller and Buyer have determined terms under which the Seller would voluntarily convey <br /> the Property to the Buyer. <br /> In consideration of this Agreement, Seller and Buyer agree as follows: <br /> 1, Definitions and Exhibits. <br /> 1.1 Definitions.For purposes of this Agreement,each of the following terms,when used herein with <br /> an initial capital letter,will have the meaning ascribed to it as follows: <br /> 1.1.1 Agreement,This Purchase Agreement. <br /> 1,1.2 Broker(s).The broker(s)described in Section 16. <br /> 1,1.3 Building(s),A building commonly known as Lexington Shoppes consisting of approximately <br /> 14,831 square feet of net rentable area located at 2719 Lexington Avenue North,Roseville,Minnesota. <br /> 1,1.4 Buyer's Closing Documents, Buyer's closing documents described in Section 5,2. <br /> 1.1.5 Charges.The charges defined in Section 6.6, <br /> 1,1.6 Closing. The closing and consummation of the purchase and sale of the Property as <br /> described in Section 5. <br /> 1.1.7 Closing Date.The date on which the Closing occurs as provided in Section 5. <br /> 1.1.8 Closing Documents., Buyer's Closing Documents and Seller's Closing Documents as <br /> defined in Section 5, <br /> 1,1.9 Contingency Date.The date which is March 30,2018. <br /> 1.1.10 Contract Date, The date upon which this Agreement is deemed effective, which is the date <br /> this Agreement has been executed by both Seller and Buyer,as set forth in the first paragraph on the top of page 1 of <br /> this Agreement. <br /> 1.1.11 Contracts. All of the service and management contracts, leasing and brokerage contracts, <br /> equipment and personal property leases, labor and material contracts, maintenance and repair contracts including <br /> elevator service contracts and HVAC service contracts,and other agreements(other than the Leases)that affect the <br /> Property or the operation, repair or maintenance thereof, a complete list of all Contracts is attached hereto as <br /> Exhibit G, <br /> 1,1.12 Earnest Money. The amount deposited by Buyer in escrow with Title Company as <br /> earnest money pursuant to the terms and conditions of Section 3, including the Initial Earnest Money and the <br /> Additional Earnest Money,together with any interest earned thereon. <br /> Page l of 38 <br />
