For the purposes of this <br /> Agreement, notice shall bee deemed given on the date notice is deposited <br /> in the United States mail., deposited with a national recognized overnight <br /> courier or personally delivered upon a party, all as provided above. <br /> 12. Effective Date. The Effective Date of this Agreement shall be the date on <br /> which this Agreement is recorded in the office of the Ramsey County <br /> Recorder or Ramsey County Registrar of Titles. <br /> 13. Successors and Assigns; Binding Effect. This Option Agreement and <br /> the Option shall be binding upon and inure to the benefit of the parties to <br /> this Agreement, and their successors and assigns, and shall run with the <br /> land. The agreements and obligations of the City under this Agreement <br /> shall be considered covenants running with the land to the benefit of <br /> Gaughan Properties, and shall be binding upon the City and its successors <br /> and assigns who become the fee simple owner(s) of the City Property. <br /> Each fee simple owner(s)now or hereafter owning any portion of the City <br /> Property shall be liable for the performance of all covenants, obligations <br /> and undertakings to be performed by the City hereunder with respect to <br /> the portion of the City Property owned. In the event that the City is not a <br /> fee simple owner of the City Property at the time of Closing,references to <br /> the City in Provisions 3 through 10 above shall refer and apply to the then <br /> fee simple owner(s)of the City Property,rather than to the City. <br /> 14. This Agreement shall be governed by and construed in accordance with <br /> the laws of the State of Minnesota, irrespective of the domicile of the <br /> parties.
