I <br /> Immediately confirms the same in writing,which confirmation shall include evidence as <br /> to all costs Incurred to date and Manager's best estimate of the total cost thereof. In <br /> the event that emergency repairs are required,with respect to items creating a danger <br /> to tenants,customers or others on the Property,or which are required by law to be <br /> immediately repaired,in an amount exceeding$2,500 or amounts approved In the <br /> budget,Manager shall be authorized to make such repairs,in an amount not to exceed <br /> $5,000, provided that Manager shall attempt to contact Owner promptly and notify <br /> Owner of such situation and the required expenditures. <br /> J. Annually review and re-bid vendor contracts for the Property,which contracts shall be <br /> subject to Owner's approval. All vendor contracts shall be in the name of Owner or of <br /> Manager on behalf of Owner. <br /> K. Act as Owner's representative in all Property-related contact with tenants including <br /> repair requests,late payment notification,tenant compliance with lease provisions,and <br /> marketing or promotional efforts involving the Property. Manager shall maintain <br /> periodic contact with tenants. <br /> L. Prepare annual tenant billings for adjustments in rent due to rental rate escalations and <br /> direct pass through of property taxes, insurance,common area maintenance and other <br /> applicable charges. <br /> M. Evaluate on a regular basis the condition of deferred maintenance items including roof, <br /> structure, painted metal surfaces and parking lots. <br /> N. Forward to Owner promptly upon receipt any and all notices of violations placed on the <br /> Property,any other notices from any governmental or municipal authorities or by any <br /> Insurance company and any claims for personal injury or damages involving the <br /> Property. <br /> 4. Owner shall indemnify, defend and hold harmless Manager, and Manager's shareholders, <br /> directors, officers, employees and agents,from and against any and all third party claims, costs, <br /> expenses, damages, losses, actions or liabilities (including reasonable attorneys' fees, <br /> deductibles or other expenses incurred), whether the foregoing are based in contract, <br /> negligence, or any other legal theory, in connection with the Property, activities contemplated <br /> or encompassed under this Agreement or Manager acting under the express direction of the <br /> Owner (including, without limitation, injury to or death of persons and/or property or public <br /> resources) or Owner breaching this Agreement. Notwithstanding the foregoing, Owner shall <br /> have no such duty to indemnify Manager or such other person to the extent that any such loss <br /> or damage is (1) Manager's responsibility as prior owner of the Property; or (2) related to the <br /> gross negligence or willful misconduct of Manager or such other person seeking indemnification <br /> hereunder. <br /> Owner agrees to maintain and to add Manager to Owner's property casualty and liability <br /> coverage on the Property,and any such insurance coverage which from time to time replaces <br /> such current property and casualty and liability coverage on the Property, as an additional <br /> Insured party; Owner's insurance being the primary insurance with respect to any claims or <br /> 3 <br />
