11. Manager shall not enter into any contract, agreement or other arrangement for the furnishing <br /> to or by the Property of any goods,services or space with any affiliate of Manager unless Owner <br /> receives prior notice of such a relationship and such contract, agreement or other arrangement <br /> Is on terms and conditions substantially the same as are offered to or by unaffiliated third <br /> parties and is either provided for in the annual budget or approved by Owner. <br /> 13. Owner acknowledges that Manager is not authorized to practice law. If legal assistance is <br /> necessary for any reason, including, but not limited to, rent collection or tenant eviction, <br /> Manager shall obtain such assistance from counsel approved by Owner after having first secured <br /> Owner's authority for such specific engagement. Manager cannot and shall not terminate any <br /> lease,lock out a tenant, institute any action or direct legal proceedings or incur any legal fees on <br /> Owner's behalf for any reason without the prior approval of Owner. <br /> 14. Manager represents that it will not disclose confidential financial or operating information <br /> regarding the Property to anyone other than Owner without prior approval from Owner, unless <br /> required by law or court order to so disclose such information. <br /> 15. This Agreement represents the entire agreement between the parties and no amendment, <br /> modification, interpretation, or termination hereof, or waiver of any of its provisions shall be <br /> binding unless in writing and signed by both parties. The invalidity or unenforceability of any <br /> particular provision of this Agreement shall not affect the other provisions thereof and the <br /> Agreement shall be construed in all respects as if such invalid or unenforceable provisions were <br /> omitted. This Agreement may be executed in multiple counterparts, each of which shall <br /> constitute an original but all of which shall constitute one and the same agreement. This <br /> Agreement will be governed by the laws of the State of Minnesota, without reference to <br /> principles of conflicts or choice of law under which the law of any other jurisdiction would apply. <br /> [Signatures to follow) <br /> 6 <br />
