Kath Properties <br />1 <br />Attn: Steve Dahl <br />2 <br />3096 Rice Street <br />3 <br />Little Canada, MN 55113 <br />4 <br />5 <br />Notices to the City. <br />R.Required notices to the Cityshall be either hand delivered to the City Engineer, <br />6 <br />or mailed to the City by registered or certified mail in care of the City Engineer at the following <br />7 <br />: <br />address <br />8 <br />City of Roseville <br />9 <br />2660 Civic Center Drive <br />10 <br />Roseville, Minnesota 55113 <br />11 <br />Attn: City Engineer <br />12 <br />13 <br />S.Miscellaneous. <br />14 <br />1.The Developer shall comply with any and all applicable City, County, Metropolitan, <br />15 <br />State and Federal laws and regulations including, but not limited to: subdivision <br />16 <br />ordinances, zoning ordinances and environmental regulations that may apply to the <br />17 <br />development of the Property, and the construction of the Public Improvements described <br />18 <br />herein. <br />19 <br />2.The terms and conditions of this Agreement shall inure to the benefit of and shall be <br />20 <br />binding upon the parties hereto, and their respective successors and assigns. <br />21 <br />3.The obligations of all parties signing this Agreement as a Developer shall be joint and <br />22 <br />several. <br />23 <br />4.If any portion, section, subsection, sentence, clause, paragraph or phrase of this <br />24 <br />Agreement is for any reason held invalid, such decision shall not affect the validity of the <br />25 <br />remaining portions of this Agreement. <br />26 <br />5.The action or inaction of the City shall not constitute a waiver or amendment to the <br />27 <br />provisions of this Agreement. To be binding, amendments or waivers must be in writing, <br />28 <br />signed by the parties and approved by the Roseville City Council. The City’s failure to <br />29 <br />promptly take legal action to enforce a default under this Agreement shall not be a waiver <br />30 <br />or release of such default. <br />31 <br />6.This Agreement shall run with the land and shall be binding upon the Developer, and its <br />32 <br />successors and assigns. The Developer shall, at its expense, record this Agreement, and <br />33 <br />all easements and other documentsrequired to be recorded pursuant to this Agreement, <br />34 <br />with the Ramsey County Recorder if the Property is abstract property and/or with the <br />35 <br />Ramsey County Registrar of Titles if the Property is Torrens property. The Developer <br />36 <br />shall, prior to the time this Agreementand such easements or other documents are <br />37 <br />executed and recorded, furnish the City with title evidence and make arrangements <br />38 <br />satisfactory to the City to confirm that at the time that this Agreementand such <br />39 <br />easements or other documents areexecuted and recorded the Developer is the sole fee <br />40 <br />simple owner of the Property and that there are no other parties having an interest in, or a <br />41 <br />lien or encumbrance against the Property. No work shall commence on the Property <br />42 <br />prior to the recordingof this Agreement. <br />43 <br />Page 8of 11 <br /> <br />
