Limitation of Liabilit <br />A) Each Party shall at all times indemnify, defend, and save the other Party harmless from any and all <br />damages, losses, claims, including claims and actions relating to injury or death of any person or damage to property, <br />costs and expenses, reasonable attorneys' fees and court costs, arising out of or resulting from the Party's <br />performance of its obligations under this agreement, except to the extent that such damages, losses or claims were <br />caused by the negligence or intentional acts of the other Party. <br />B) Each Party's liability to the other Party for failure to perform its obligations under this Contract shall be <br />limited to the amount of direct damage actually incurred. In no event shall either Party be liable to the other Party for <br />any punitive, incidental, indirect, special, or consequential damages of any kind whatsoever, including for loss of <br />business opportunity or profits, regardless of whether such damages were foreseen. <br />C) Notwithstanding any other provision, with respect to the Company's duties or performance or lack of <br />performance under this Contract, the Company's liability to the Community Solar Garden Operator shall be limited as <br />set forth in the Company's rate book and terms and conditions for electric service, and shall not be affected by the <br />terms of this Contract. There are no third -party beneficiaries of any Company duty under this Contract other than the <br />Company's duty to Subscribers to issue Bill Credits as set forth in this Contract, and the duty to a financing party <br />under Section 10.d. of this Contract. <br />12. Dispute Resolution <br />A) Each Party agrees to attempt to resolve all disputes arising hereunder promptly, equitably and in a good <br />faith manner. <br />B) In the event a dispute arises under this Contract between the Parties, and if it cannot be resolved by the <br />Parties within thirty (30) days after written notice of the dispute to the other Party, then the Parties may refer the <br />dispute for resolution to the MPUC, which shall maintain continuing jurisdiction over this Agreement. <br />13. The separately executed power purchase agreement referenced in the Interconnection Agreement for the <br />purchase of power exported by the Community Solar Garden Operator to the Company is not needed.
