<br />The certification inthisclauseisa material representation offactuponwhich reliance was placed when
<br />the department or agency determined to enter into this transaction. If it is later determined that the
<br />prospective primary participantknowinglyrendered an erroneous certification, inaddition to other
<br />remedies available tothe Federal Government, the department oragency may terminate this transaction
<br />for cause or default or may pursue suspension ordebarment.
<br />The prospective primary participant shallprovide immediate written notice tothe department oragency
<br />to which this proposal is submitted if atanytime the prospective primary participantlearns its
<br />certification was erroneous when submitted or hasbecome erroneous by reason of changed
<br />circumstances.
<br />Thetermscovered transaction, debarment, suspension, ineligible, lower tier, participant, person,
<br />primary tier, principal, and voluntarily excluded,as used in this clause, have the meaning set out inthe
<br />Definitions and coverage sections of 2 CFR Part180and1300. You may contact the department
<br />or agency to which this proposal is being submitted for assistance in obtaining a copy ofthose
<br />regulations.
<br />Theprospective primary participantagrees by submittingthis proposal that, should the proposed
<br />covered transaction be entered into, it shall not knowingly enterinto any lowertiercoveredtransaction
<br />with a person who is proposed for debarment under48CFR part 9, subpart 9.4, debarred, suspended,
<br />declared ineligible, or voluntarily excluded from participation in this covered transaction, unless
<br />authorized by NHTSA.
<br />Theprospective primary participantfurtheragrees by submittingthis proposal thatitwill include the
<br />Debarment, Suspension, Ineligibility andVoluntaryExclusionLower Tier CoveredTransaction,"
<br />provided by the department or agency entering into thiscoveredtransaction, without modification,in all
<br />lower tier covered transactions and inall solicitations for lower tier covered transactions and will require
<br />lower tier participants to comply with 2 CFR Parts 180and1300.
<br />Aparticipantin a covered transaction may rely upon a certification of a prospective participant in a
<br />lower tier covered transaction that it is not proposed for debarmentunder48CFR part 9,subpart9.4,
<br />debarred,suspended, ineligible, or voluntarily excluded from thecovered transaction, unless itknows
<br />thatthe certification is erroneous. A participant is responsible for ensuring thatitsprincipals are not
<br />suspended, debarred, or otherwise ineligible to participate in covered transactions. Each participant
<br />may, but is not requiredto, check theSystemforAward Management Exclusionswebsite
<br />(https://www.sam.gov/).
<br />Nothingcontainedin the foregoing shallbeconstruedto require establishment of a systemofrecordsin
<br />ordertorender in good faith the certification requiredbythis clause. The knowledge and information of
<br />a participant is not requiredto exceed that whichis normally possessed by a prudent personin the
<br />ordinarycourseof business dealings.
<br />Except for transactions authorized under paragraph 6 of these instructions, if a participant in a covered
<br />transaction knowingly enters into a lower tier coveredtransaction with a person whois proposed for
<br />debarmentunder48CFR part 9,subpart9.4,suspended, debarred, ineligible, or voluntarily excluded
<br />fromparticipation in this transaction, the department or agency maydisallowcosts, annul or terminate
<br />the transaction, issue astop work order,debar or suspend you, or take other remedies as appropriate.
