41 <br />Attachment A <br />42 <br />43 EXTRACT OF MINUTES OF A MEETING OF THE <br />44 CITY COUNCIL OF THE <br />45 CITY OF ROSEVILLE, MINNESOTA <br />46 <br />47 Pursuant to due call and notice thereof, a regular meeting of the City Council of the City of <br />48 Roseville, Minnesota, was duly held at the City Hall in said City on Monday, April 13, 2020, commencing <br />49 at 6:00 o’clock P.M. <br />50 The following Council members were present: <br />51 <br />52 <br />53 and the following were absent: <br />54 <br />55 Council member ___________ introduced the following resolution and moved its adoption: <br />56 RESOLUTION NO. ______ <br />57 <br />58 A RESOLUTION CALLING FOR A PUBLIC HEARING <br />59 ON CONSENTING TO THE ISSUANCE OF REVENUE BONDS AND <br />60 AUTHORIZING THE PUBLICATION OF A NOTICE OF THE HEARING THEREFOR <br />61 (PRESBYTERIAN HOMES CARE CENTERS, INC. – LANGTON SHORESPROJECT) <br />62 (a) WHEREAS, Minnesota Statutes, Sections 469.152 through 469.165, as amended, relating <br />63 to municipal industrial development (the “Act”), gives municipalities the power to issue revenue <br />64 obligations for the purpose of promoting the welfare of the state by the active attraction and <br />65 encouragement and development of economically sound industry and commerce to prevent so far as <br />66 possible the emergence of blighted and marginal lands and areas of chronic unemployment; and <br />67 (b) WHEREAS, the City of Roseville, Minnesota (“Roseville”), has received from <br />68 Presbyterian Homes Care Centers, Inc., a Minnesota nonprofit corporation and 501(c)(3) organization <br />69 (the “Borrower”), a proposal that the City of Little Canada, Minnesota undertake a program to assist in <br />70 financing the “Project” described in the form of Notice of Public Hearing attached hereto as Exhibit A, <br />71 which is located in Roseville, through the issuance of revenue bondsor other obligations (in one or more <br />72 series) (the “Bonds”) pursuant to the Act; and <br />73 WHEREAS, Roseville has been advised that a public hearing and City Council host approval of and <br />74 consent to the financing of the Project is required under the Act and Section 147(f) of the Internal <br />75 Revenue Code of 1986, as amended (the “Code”), because the facilities to be financed by the Bonds are <br />76 located in Roseville: <br />77 <br />Page 3 of 6 <br /> <br /> <br />
