123 <br />EXHIBIT A <br />124 <br />125 NOTICE OF PUBLIC HEARING <br />126 ON A PROPOSAL FOR THE CONSENT TO THE ISSUANCE <br />127 OF SENIOR HOUSING AND HEALTH CARE FACILITIES REVENUEBONDS <br />128 (PRESBYTERIAN HOMES CARE CENTERS, INC. – LANGTON SHORESPROJECT) <br />129 <br />130 Notice is hereby given that the City Council of the City of Roseville, Minnesota (the “City”) <br />131 will meet at the City Hall, 2660 Civic Center Drive, in the City, at 6:00 P.M. on Monday, April 27, <br />132 2020, to consider giving host approval and consent to the issuance by the City of Little Canada, <br />133 Minnesota (the “Issuer”) of revenue bonds, in one or more series (the “Bonds”), under Minnesota <br />134 Statutes, Sections 469.152 through 469.165, as amended (the “Act”), in order to finance the cost of a <br />135 project located in the City. <br />136 Presbyterian Homes Care Centers, Inc., a Minnesota nonprofit corporation and a 501(c)(3) <br />137 organization (the “Borrower”), proposes to (i) finance, in part, the acquisition, construction, and <br />138 equipping of an approximately 83-unit independent living senior housing facility (the “2020 Project”); <br />139 (ii) refinance the acquisition, construction, and equipping of a 50-unit replacement skilled nursing <br />140 facility(the “2018 Project”) located, with the 2020 Project, at 1910 County Road D in the City of <br />141 Roseville, Minnesota (collectively, the “Facility”), by refunding and prepaying the City of Little <br />142 Canada, Minnesota ($11,970,000 Health Care Facilities Revenue Note (Langton Place Project) Series <br />143 2018 (the “Prior Note”); (iii)capitalize interest on the Bonds; (iv) fund required reserve funds; and (v) <br />144 pay all or a portion of the costs of issuance (collectively, the “Project”). Remaining proceeds of the <br />145 Prior Note may also be used for the 2020 Project. <br />146 The Facility is and will be owned and operated by the Borrower. The maximum estimated <br />147 principal amount of the bonds to be issued to finance the Project is $50,000,000. <br />148 The Bonds or other obligations, if and when issued, will not constitute a charge, lien or <br />149 encumbrance upon any property of the City or the Issuer, except the Project and the revenues to be <br />150 derived from the Project. Such bonds or obligations will not be a charge against the City's general <br />151 credit or taxing powers, but will be payable from sums to be paid by the Borrower pursuant to a <br />152 revenue agreement. <br />153 At the time and place fixed for the public hearing, the City Council will give all persons who <br />154 appear at the hearing an opportunity to express their views with respect to the proposal.
