<br />GENERAL OBLIGATION REFUND[NG IMPROVEMENT BOND
<br />(SPECIAL SERIES 1990)
<br />
<br />The City of Roseville, Minnesota (City) acknowledges itself to be indebted and for
<br />value received promises to pay to the City Fund 505 the principal amount of $2,318,000 on
<br />November 1, 1997, and to pay interest on the unpaid installment amounts on February 1 of
<br />each year commencing on February 1, 1991, at the rate of 896 per annum, all principal and
<br />interest payable at the office of the City Treasurer. This bond is subject to prepayment in
<br />whole or in part on any date at a price of par plus accrued interest to date of redemption.

<br />This bond is issued pursuant to a resolution of the City Council adopted on February
<br />26, 1990 (Resolution) for the purpose of (i) refunding a portion of the principal amounts of
<br />certain general obligation improvement bonds of the City (more fully described in the
<br />Resolution) which have been issued by the City to finance all or a portion of the costs of
<br />local improvements constructed by the City pursuant to Minnesota Statutes, Chapter 429,
<br />and is payable primarily from special assessments against benefitted property and ad
<br />valorem tax levies for the City's share of the cost thereof, and (ii) to repay advances from
<br />City Fund 505 made by the City to pay principal and interest on the obligations described in
<br />the Resolution. The City Council in and by the Resolution has made. provision for the
<br />payment of the obligations described in the Resolution and has estimated that the primary
<br />source of payment for this bond is sufficient to pay when due the principal of and interest on
<br />this bond. The full faith, credit and taxing powers of the City are pledged in and by the
<br />Resolution to the payment of this bond.

<br />IT IS HEREBY CERTIFIED, RECITED, COVENANTED AND AGREED that all acts,
<br />conditions and things required by the Constitution and laws of the State of Minnesota, to be
<br />done, to exist, to happen and to be performed preliminary to and in the issuance of this Bond
<br />in order to make it a valid and binding general obligation of the City in accordance with its
<br />terms, have been done, do exist, have happened and have been performed as so required, and
<br />that the issuance of this Bond does not cause the indebtedness of the City to exceed any
<br />constitutional or statutory limitation of indebtedness.
