Attachment B <br />ÐLease AssignmentÑ means the Assignment of Leases and Rents dated as of the date <br />hereof, by the Borrower to the Governmental Lender, which Lease Assignment has been assigned <br />by the Governmental Lender to the Fiscal Agent pursuant to the Assignment as security for the <br />Funding Loan, as the same may be further amended, supplemented, or restated. <br />ÐLoansÑ means, together, the Project Loan and the Funding Loan. <br />ÐLoan Payment FundÑ means the Loan Payment Fund established by the Fiscal Agent <br />pursuant to Section 4.01 hereof. <br />ÐLoan Prepayment FundÑ means the Loan Prepayment Fund established by the Fiscal <br />Agent pursuant to Section 4.01 hereof. <br />ÐMaturity DateÑ means the maturity date of the Funding Loan set forth in Section 2.01(e) <br />hereof. <br />ÐMaximum Interest RateÑ means the rate of interest which results in the maximum amount <br />of interest allowed by applicable law. <br />ÐMoodyÓsÑ means MoodyÓs Investors Service, Inc., its successors and assigns, if such <br />successors and assigns continue to perform the services of a securities rating agency. <br />ÐNet ProceedsÑ when used with respect to any insurance or condemnation award, means <br />the proceeds from the insurance or condemnation award with respect to which that term is used <br />remaining after payment of all reasonable expenses incurred in the collection of such insurance <br />proceeds or condemnation award, including reasonable attorneysÓ fees. <br />Ð Notes Ñ means, together, the Project Note and the Governmental Note. <br />Ð Notice of Conversion Ñ means a written notice to be delivered not less than ten (10) days <br />prior to the Conversion Date by the Freddie Mac Seller/Servicer to the Governmental Lender, the <br />Fiscal Agent, the Borrower, the Initial Funding Lender and Freddie Mac (i) stating that the <br />Conditions to Conversion have been satisfied on or before the Forward Commitment Maturity <br />Date or, if any Condition to Conversion has not been satisfied on or before the Forward <br />Commitment Maturity Date, stating that such Condition to Conversion has been waived in writing <br />by Freddie Mac (if a waiver is permitted and is granted by Freddie Mac, in its sole and absolute <br />discretion) on or before the Forward Commitment Maturity Date, (ii) confirming the Conversion <br />Date and (iii) providing for an updated amortization schedule for the Project Note and the <br />Governmental Note in the event the Borrower makes a Pre-Conversion Loan Equalization <br />Payment at Conversion. <br />Ð Paying Agent Ñ means the Person designated to make payments of principal of, <br />Prepayment Premium, if any, and interest on the Funding Loan, to the Funding Lender pursuant <br />to Section 2.12 hereof.
