Attachment C <br />(a) the Governmental Lender may rely conclusively on the truth and accuracy of any <br />certificate, opinion, notice or other instrument furnished to the Governmental Lender by the Fiscal <br />Agent, the Funding Lender or the Borrower as to the existence of a fact or state of affairs required <br />under this Project Loan Agreement to be noticed by the Governmental Lender; <br />(b) the Governmental Lender shall not be under any obligation to perform any record <br />keeping or to provide any legal service, it being understood that such services shall be performed <br />or caused to be performed by the Fiscal Agent, the Funding Lender Representative, the Servicer, <br />the Financial Monitor or the Borrower, as applicable; and <br />(c) none of the provisions of this Project Loan Agreement shall require the <br />Governmental Lender or the Fiscal Agent to expend or risk its own funds (apart from the proceeds <br />of Funding Loan issued under the Funding Loan Agreement) or otherwise endure financial liability <br />in the performance of any of its duties or in the exercise of any of its rights under this Project Loan <br />Agreement, unless it shall first have been adequately indemnified to its satisfaction against the <br />costs, expenses and liabilities which may be incurred by taking any such action. <br />\[Signature pages follow\] <br /> 37 <br />12502464v3 <br /> <br />
