The Owner owns the multifamily housing project located in Roseville, Minnesota <br />and known as the Twin Lakes Family Apartments Project (the ÐProjectÑ). <br /> <br />2. The undersigned and the Owner have read and are thoroughly familiar with the <br />provisions of (1) the Amended and Restated Regulatory Agreement, dated as of June 1, 2020 (the <br />ÐRegulatory AgreementÑ), among the Owner, the City of Roseville, Minnesota (the <br />ÐGovernmental LenderÑ), and U.S. Bank National Association (the ÐFiscal AgentÑ); and (2) the <br />Project Loan Agreement, dated June 1, 2020 (the ÐAgreementÑ), among the Governmental Lender, <br />the Owner, and the Fiscal Agent. The Regulatory Agreement was executed, delivered, and <br />recorded against the Project in connection with the issuance of the Note. <br />3.
