G.Continuation Coverage means the continuation coverage required to be provided with respect <br />to a Plan under applicable law. Such coverage may include continuation coverage under a group <br />health plan required by COBRA, USERRA, and/or state law and/or continuation coverage under a <br />group term life insurance plan required by state law. <br />H. Covered Individual means an individual properly covered under a Plan, including a Participant <br />and any individual covered through the Participant, pursuant to the terms of the Plan. <br />I. Effective Date - means the date identified in Exhibit A, which is the date on which the Agreement <br />is effective. <br />J. HIPAA - means the Health Insurance Portability and Accountability Act of 1996, as amended from <br />time to time, and regulations thereunder. <br />K. MEDSURETY, LLC means MEDSURETY, LLC, an independent contractor designated by the <br />Adopting Employer and/or Plan Administrator through this Agreement to perform certain <br />Administrative Services pursuant to this Agreement with respect to the Plan(s). <br />L. Participant means an eligible employee or former employee of Adopting Employer <br />participating in a Plan in accordance with the terms thereof and an employee or former <br />employee of the Adopting Employer receiving Continuation Coverage. <br />M. PHSA means the Public Health Services Act and regulations thereunder, as may be amended <br />from time to time, and regulations thereunder. <br />N. Plan, Plans or Plan(s) - means the program(s) or arrangement(s) of benefits, as noted in Exhibit <br />B, established and maintained by Adopting Employer with respect to which MEDSURETY, LLC <br />provides Administrative Services under this Agreement and its Addenda. <br />O. Plan Administrator means the Adopting Employer or any person to whom the responsibilities <br />of Plan Administrator have been contractually delegated.. <br />R. USERRA means the Uniformed Services Employment and Reemployment Rights Act of 1994 <br />and regulations thereunder, as amended from time to time. <br />II. MEDSURETY, LLC Status and Responsibilities <br />A. Status of MEDSURETY, LLC. The Adopting Employer shall not (1) name MEDSURETY, LLC as Plan <br />Administrator in any documents applicable to the Plans, nor (2) hold out to other parties or third <br />parties that MEDSURETY, LLC serves in such capacity. In addition, MEDSURETY, LLC does not <br />intend to assume any of the administrative duties or responsibilities commensurate with such <br />designation. <br />B. Capacity of MEDSURETY, LLC. In fulfilling its duties and obligations under this Agreement, <br />MEDSURETY, LLC shall act as the administrative agent of the Adopting Employer and/or Plan <br />Administrator with respect to the Plans and does not intend to be a Plan Administrator (as such <br />term is defined under applicable law or the Plans) of the Plans or with respect to the Plan assets. <br />In addition, MEDSURETY, LLC shall not be required to participate in or act in a manner that aids <br />or assists abreach of a fs duty. <br />C. Limited Responsibilities. MEDSURETY, LLC agrees to provide only the Administrative Services <br />specifically described in this Agreement. Any responsibility with respect to establishment, <br />maintenance, and administration of any Plan(s) or plan(s) sponsored by the Adopting Employer <br />not specifically delegated to MEDSURETY, LLC herein shall remain the responsibility of the <br />Adopting Employer and/or Plan Administrator. <br />Continuation and/or Retiree Billing 2 <br />Administrative Agreement (public sector) <br /> <br />
