Attachment C <br />ACCESS EASEMENTAGREEMENT <br />THIS ACCESS EASEMENT AGREEMENT (“Easement Agreement”), dated ___________________, <br />2022, is entered into between Roseville Investment Partners, LLC, a Minnesota limited liability company <br />(herein, "RIP") and the City of Roseville, Minnesota, a municipal corporation (the “City”) <br />RECITALS <br />A.RIP and the City have entered into that certain Public Improvement Contractdated July 15, 2020 <br />andrecorded in the Office of the County Recorder or Ramsey County, Minnesota on July 29, <br />2020, as Document Number A04824572(the “PIC”)pertaining to the real property owned by RIP <br />rd <br />and legally described as Outlot A, Twin Lakes 3Addition (the “Property”) . <br />B.Pursuant to paragraph 8 of Exhibit B of the PIC(copied below in its entirety), when the conditions <br />set forth in the first sentence of said paragraph 8 (the “Conditions”) have been met, RIP is <br />required to grant to the City a roadway easement over the Private Road depicted on Exhibit C of <br />the PIC (the “Private Road”)in accordance with the terms and conditions stated in said paragraph <br />8. <br />C.Notwithstanding that none of the conditions in said paragraph 8 have been met, in order to provide <br />an interconnection between the Private Road and the abutting property to the east of the Property, <br />being Ramsey County Tax Parcel ID Number 042923440032(the “Adjacent Property”)when <br />the conditions in said paragraph 8 have been met, the City has requested RIP to grant and convey <br />1 <br /> <br />
